RemainCo Business definition

RemainCo Business has the meaning set forth in the Separation and Distribution Agreement.

RemainCo Business means (i) those businesses operated by the RemainCo Group prior to the Effective Time other than the SpinCo Business and (ii) the businesses and operations of Business Entities acquired or established by or for RemainCo or any of its Subsidiaries after the Effective Time.

RemainCo Business means any business of RemainCo and its Subsidiaries other than the SpinCo Business.

Examples of RemainCo Business in a sentence

• No determination will have been made by RemainCo’s Board of Directors, in its sole discretion, that the Distribution is no longer in the best interest of RemainCo or its shareholders or that market conditions or other circumstances are such that it is no longer advisable to separate the RemainCo Business and the SpinCo Business.

• Also living in the home is the recipient's spouse (unaided stepparent).

• RemainCo shall be entitled, in perpetuity, to control the assertion or waiver of all privileges in connection with privileged information which relates solely to the RemainCo Business, whether or not the privileged information is in the possession of or under the control of any member of the RemainCo Group or any member of the SpinCo Group.

More Definitions of RemainCo Business

RemainCo Business shall have the meaning ascribed to it in the Separation Agreement.

RemainCo Business means any and all businesses and operations of Remainco or any of its Subsidiaries (including the members of the FOX Group and the members of the Remainco Group) as conducted immediately prior to the Distribution, other than the FOX Business.

RemainCo Business means all businesses and operations of the Remainco Group, other than the Separated Business.

RemainCo Business means the “Progressive Leasing and Vive Business” as defined in the Separation Agreement.

RemainCo Business means the business conducted by the Seller’s Group but excluding the DivestCo Business;

RemainCo Business means all businesses, operations and activities (whether conducted independently or in association with one or more third parties through a partnership, joint venture or other mutual enterprise) conducted at any time prior to the Spinco Distribution by any member of the Spinco Group or Remainco Group, other than the Spinco Business.
