Relevant Programme Agent definition

Relevant Programme Agent means, in respect of (i) Danish Notes, the Danish Programme Agent, (ii) Swedish Securities, the Swedish Programme Agent, (iii) Norwegian Securities, the Norwegian Programme Agent, (iv) Finnish Securities, the Finnish Programme Agent, (v) Swiss Securities, the Swiss Programme Agent, (vi) Swiss Certificates (UBS-cleared), the Swiss Certificates (UBS-cleared) Agent, (vii) French Securities, the French Programme Agent, (viii) German Securities clearing through Clearstream Frankfurt, the German Programme Agent, (ix) German Securities clearing through Euroclear and/or Clearstream, Luxembourg, the Principal Programme Agent, (x) Rule 144A Securities, the Principal Programme Agent, (xi) CMU Securities, the CMU Lodging and Paying Agent or (xii) all other Securities, the Principal Programme Agent, and includes any successor or additional agent or any other agent identified as such in the relevant Pricing Supplement.

Examples of Relevant Programme Agent in a sentence

  • A pre-condition to the exercise of such right is the delivery by the Issuer to the Relevant Programme Agent of an opinion of independent legal advisers of recognised standing confirming that the terms described in the first sentence of this paragraph are met.

  • Upon the occurrence of any of the events specified in (A) to (D) (inclusive) above and satisfaction of any applicable condition in the proviso to the preceding sentence, the Holder of a Global Security may, on or after any due date for exchange, surrender such Global Security or, in the case of a partial exchange, present it for endorsement to or to the order of the Relevant Programme Agent.

  • Any determination as to whether an Exercise Notice contains all the relevant information and is validly delivered shall be made by the Relevant Programme Agent (as applicable) in its sole and absolute discretion and shall be conclusive and binding on the Issuer, the relevant Guarantor (if any) in respect of Warrants issued by JPMSP, JPMBD and JPMI, the Registrar, the Calculation Agent and the Holder.

  • The expected service periods vary from one to nine months from the date of the grant depending on certain corporate objectives being met.

  • If such Exercise Notice is subsequently corrected to the satisfaction of the Relevant Programme Agent as applicable, it shall be deemed to be a new Exercise Notice submitted at the time the correction is delivered.

  • The Relevant Programme Agent shall make a record of each payment made against presentation or surrender of any Registered Global Note, distinguishing between any payment of principal and any payment of interest on the Registered Global Note by the Paying Agent to which it was presented, and such record shall be prima facie evidence that the payment in question has been made.

  • This raises questions about the semantics of logophoricity, as well as syntactic/morphological questions about the realization of logophoric elements.

  • Facility Agent has the meaning set forth in the Preamble.

  • Security Agent means the Bond Trustee or any successor Security Agent, acting for and on behalf of the Secured Parties in accordance with any Security Agent Agreement or any other Finance Document.

  • Relevant Party means each Loan Party and Sponsor (and, collectively “Relevant Parties”).

  • Obligors’ Agent means the Company, appointed to act on behalf of each Obligor in relation to the Finance Documents pursuant to Clause 2.4 (Obligors’ Agent).

  • Relevant Parties means the Agent, each Borrower, each Security Party, the Security Trustee, each Lender and the Swap Bank;

  • Creditor Party means the Agent, the Security Trustee or any Lender, whether as at the date of this Agreement or at any later time;

  • Authorised Dealer means a person authorised as an authorised dealer under subsection (1) of Section 10 of the Act ;

  • Authorised Driver means any driver approved by Xxxxxx and whose name is noted in Rental Vehicle Agreement Part A as an authorised driver;

  • Finance Parties means the Facility Agent, the Arrangers, the Bookrunners, the Security Trustee, the Lenders, the holders of any Senior Secured Notes and the trustees and/or agents in respect of any Senior Secured Notes and “Finance Party” means any of them.

  • authorised bank means a bank or a branch of a bank authorised by the Central Government to collect the tax or any other amount payable under this Act;

  • Security Parties means each Borrower, each Guarantor, each Chargor, and any other person (other than a Manager or Charterer) who may at any time during the Facility Period be liable for, or provide security for, all or any part of the Indebtedness, and "Security Party" means any one of them.

  • authorised party means the party referred to in Article XIII(3);

  • authorised agent means a passenger sales agent who has been appointed by us to represent us in the sale of air transportation on our services.

  • Authorised User means those employees, agents and independent contractors of the Customer who are authorised by the Customer to use the Services.

  • Authorised Users means those employees, agents and independent contractors of Customer or a Customer Affiliate who have been authorised by Customer to use the Products in accordance with these Terms.

  • Finance Party means the Agent, the Arranger or a Lender.

  • Cash Manager means Royal Bank of Canada, in its capacity as cash manager under the Cash Management Agreement together with any successor cash manager appointed from time to time;

  • the Agent means the estate agency described at paragraph 5 of the Schedule;

  • Creditor Parties means, collectively, the Administrative Agent, the Lenders, the L/C Issuers and each co-agent or sub-agent appointed by the Administrative Agent from time to time pursuant to Section 9.05, and the other Persons to whom the Obligations are owing.

  • Account Party has the meaning specified therefor in Section 2.11(h) of this Agreement.

  • Principal Agent means the person or entity appointed by the employer and named in the schedule. In the event of a principal agent not being appointed, then all the duties and obligations of a principal agent as detailed in the agreement shall be fulfilled by a representative of the employer as named in the scheduleClause 1.1 Definition of "Security" is amended by replacing it with the following:

  • Security Party means the Borrowers, the Corporate Guarantor, the Shareholder or any other person who may at any time be a party to any of the Security Documents (other than the Banks);

  • Authorised Persons means collectively all Event management, Venue management, Police, public bodies and agencies responsible for safety and security in connection with the Event or the Venue, and their respective staff, officials, representatives, officers and volunteers;

  • authorised insurer means an insurer that holds an authorisation to carry on insurance business for the purposes of Directive 73/239/EEC or that is otherwise entitled to carry on non-life insurance business in the State;

  • authorised person means any person who is designated in writing by the Issuer from time to time to give Instructions to the Agents under the terms of this Agreement;

  • Global Agent has the meaning specified in the preamble, and any duly qualified and appointed successor or successors of U.S. Bank thereto.
