For purposes of this Section 9.5, the "Relative Proportion" of any Stockholder shall mean that portion of the Offered Shares equal to the total number of Offered Shares multiplied by a fraction the numerator of which is equal to the number of shares owed by such Stockholder prior to such purchase and the denominator of which is equal to the number of shares owned by all Stockholders prior to such purchase that are eligible, and that have elected, to purchase the Offered Shares.
The Vendors will restructure their shareholdings in the Target Company such that prior to Completion, AVL will hold the entire issued and paid-up share capital of the Target Company, with the Vendors holding as legal and beneficial owners the AVL Sale Shares in the same Relative Proportion previously held in the Target Company.
