Related Party(ies) definition

Related Party(ies) means, with respect to any Person, such Person’s Affiliates, and the partners, members, shareholders, directors, officers, employees, agents, trustees and advisors of such Person and of such Person’s Affiliates.

For the avoidance of doubt, Related Parties of the Authority shall not include StadCo and its Related Parties and vice versa.

  • A list of the Related Parties is established and circulated annually to the finance division of the Group, who shall monitor and ensure that all RRPT(s) to be entered into by the Group are reported and forwarded to the Audit Committee, who then ensures that the RRPT(s) are to be undertaken on an arm’s length basis, on terms which are not more favourable to the Related Party(ies) other than those generally available to the public and which are not to the detriment of the minority shareholders of Boilermech.

  • Wherever practicable, at least two (2) other contemporaneous transactions with unrelated third parties for substantially similar products or services, and/or quantities will be used as comparison, to determine whether the price and terms offered to/by the Related Party(ies) are fair and reasonable and comparable to those offered to/by other unrelated third parties for the same or substantially similar type of products or services and/or quantities.

  • Such transactions have been and will be made on terms which are not more favourable to the Related Party(ies) than those generally available to the public and are not to the detriment of the minority shareholders of Boilermech.


More Definitions of Related Party(ies)

Related Party(ies) means a person or entity that is related to the Company. Parties are related if one party has the ability to control the other party or exercise significant influence over the other party directly or in directly in making the financial and/or operating decisions and includes:

Related Party(ies) means (i) Defendants’ and Plaintiffs’ respective, in their capacity as such, past, present or future directors, officers, employees, trustees, partners, insurers, co-insurers, reinsurers, controlling shareholders, agents, attorneys, advisors, consultants, accountants or auditors, investment advisors, personal or legal representatives, associates, affiliates, predecessors, successors, assigns, parents, subsidiaries (whether wholly or partially owned), divisions, joint ventures; (ii) with respect to the Individual Defendants, DuDash, and Spring, their respective present, past and future spouses, parents, siblings, children, grandparents, and grandchildren, the present, past and future spouses of their respective parents, siblings and children, and the present, past and future parents and siblings of their respective spouses, including step and adoptive relationships; (iii) any and all persons, firms, trusts, corporations, and other entities in which any of the Defendants or Plaintiffs has a financial interest or was a founder, settler or creator of the entity, and, in their capacity as such, any and all officers, directors, employees, trustees, beneficiaries, settlers, creators, attorneys, consultants, agents, or representatives of any such person, firm, trust, corporation or other entity; and (iv) in their capacity as such, the legal representatives, heirs, executors, administrators, predecessors, successors, predecessors-in-interest, successors-in-interest, and assigns of any of the foregoing.
Related Party(ies) means at any time during the Recapture Period, any Person who is considered for federal income tax purposes to be purchasing electricity generated by the applicable Project and who is related to the Company or the applicable Fund Company within the meaning of Section 267(b) or Section 707(b) of the Code or any successor provision, but excluding any Person that so purchases electricity generated by such Project to the extent such Person resells the electricity to another Person who is not related to the Company or the applicable Fund Company within the meaning of Section 267(b) or Section 707(b) of the Code or any successor provision.
Related Party(ies) means any Cole International Inc.’s parent or subsidiary or any Party associated with or related to Cole International Inc. and using the word “Cole” in its name.
Related Party(ies) means the Company, any Credit Support Party, any Subsidiary, and, in addition: (i) as to any Guarantor which is a natural person, trusts for the benefit of Guarantor; and (ii) as to any Guarantor which is not a natural person, to the extent applicable, any general or limited partner, controlling shareholder, joint venturer, member or manager, of Guarantor.
