Related Party Contract definition
Related Party Contract means any Contract with any Related Party.
Related Party Contract means any contract between the Corporation, the Project General Partner, the Partnership, the Project Partnership, the Manager or any Subsidiaries (on the one hand) and a Shareholder or a Related Party of a Shareholder (on the other hand) and includes the PAA, the O&M Contract and the Management Agreement;

Each Related Party Contract is on terms and conditions as favorable to the applicable Group Company as would have been obtainable by it at the time in a comparable arm’s-length transaction with an unrelated party and has no and will not impose any material adverse effect to any such Group Company as long as such Group Company performs the Related Party Contract pursuant to the terms and conditions thereunder.
Except for the Transaction Documents, the Control Documents and the employment agreement with each of the Key Employees, there are no Related Party Contracts nor is there currently any proposed Related Party Contract.
More Definitions of Related Party Contract
Related Party Contract means any relationship, transaction, or expenditure, contractual in nature, which results in or could result in an expenditure of state or federal funds by the Board with a Related Party. The term “Related Party Contract” does not include retail purchases made in the ordinary course of business or payments for utility services.
Related Party Contract means other than Contracts on arms’ length terms and approved by all non-interested members of the Company’s Board, any Contract between the (i) Company or any of its Subsidiaries and (ii) any officer, director, or any shareholder of the Company holding more than 10% of the Company’s issued share capital on an issued and as converted basis, or to the Knowledge of the Company, any family member or Affiliate of any such Person, on the other hand (in each case other than employment agreements, indemnification agreements and stock option agreements).
