The Developer shall submit a Reimbursement Certificate to the City (no more frequently than monthly) for Authorized Improvements Costs, as approved by the City.
Notwithstanding the foregoing, the City shall review the first Reimbursement Certificate within forty-five (45) business days of receipt thereof.
After reviewing the Certificate for Payment, the City approves the Reimbursement Certificate and authorizes and directs payment of the amounts set forth below to the Developer or other person designated by the Developer as listed and directed on such Reimbursement Certificate.

Provided, however, that as of the date of termination, (i) any Authorized Improvements completed and accepted by the City or (ii) Authorized Improvements Costs submitted pursuant to a Reimbursement Certificate and approved by the City, shall still be subject to reimbursement.
The Escrow Agent will disburse the total amount stated in the Reimbursement Certificate to the Representative from and to the extent of the Representative Fund within two (2) Business Days of receipt of the Reimbursement Certificate.
Pay As You Go. With respect to CID Sales Tax Revenue, the CID Project may be funded on a pay as you go basis and the City shall not disburse any of the CID Sales Tax Revenues for CID Reimbursable Project Costs until the City has approved the Reimbursement Certificate, as defined in Section 4.4, and in accordance with the approved annual Budget.
