Regulation S GDSs definition

Regulation S GDSs means with respect to any Receipt, the rights and interests in the Deposited Securities granted to the Holders and Beneficial Owners pursuant to the terms and conditions of this Regulation S Deposit Agreement and the Regulation S GDRs issued hereunder. Each Regulation S GDS shall represent one (1) Share until there shall occur a distribution upon Deposited Securities referred to in Section 4.02 or a change in Deposited Securities referred to in Section 4.11 with respect to which additional Regulation S GDSs are not issued, and thereafter each Regulation S GDS shall represent the right to receive the Shares or Deposited Securities specified in such Sections.
Regulation S GDSs means the securities representing the interests in the Deposited Securities and evidenced by Receipts issued hereunder. Each Global Depositary Share shall represent the right to receive one ordinary Share, until there shall occur a distribution upon Deposited Securities covered by Section 4.03 or a change in Deposited Securities covered by Section 4.08 with respect to which additional Receipts are not executed and delivered, and thereafter Regulation S Global Depositary Shares shall evidence the rights to receive the amount of Shares or Deposited Securities specified in such Sections. The terms "Regulation S Global Depositary Receipts" and "Regulation S GDRs" shall mean the Regulation S Global Depositary Receipts evidencing the Regulations S GDSs.
Regulation S GDSs means the global depositary shares issued pursuant to the Regulation S Deposit Agreement. The terms "Regulation S Global Depositary Receipts" and "Regulation S GDRs" shall mean the global depositary receipts evidenced by the Regulation S GDSs.

  • We certify (or if we are acting for the account of another person, such person has confirmed to us that it certifies) that the aggregate number of Shares to be received by us (it) upon the surrender of Regulation S GDSs for the withdrawal of Shares pursuant to the Regulation S Deposit Agreement does not exceed ten percent (10%) of the total number of Shares currently on deposit with the Custodian.

  • Nothing herein shall obligate the Depositary to make available to the Holders a method to exercise rights to subscribe for Shares (rather than Regulation S GDSs) if the conditions set forth above are not satisfied.

  • In lieu of issuing Regulation S GDRs for fractional Regulation S GDSs in any such case, the Depositary shall sell the number of Shares represented by the aggregate of such fractions and distribute the net proceeds in dollars.

  • The GDS Offering 18,250,000 GDSs representing 365,000,000 new common shares, orShares, to qualified institutional buyers, or QIBs, in the United States in reliance on Rule 144A under the Securities Act, or the Rule 144A GDSs, and outside the United States in reliance on Regulation S under the Securities Act, or the Regulation S GDSs.   • Legended Regulation S Global Note means a global Note in the form of Exhibit A, bearing the Global Note Legend and the Private Placement Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee, issued in a denomination equal to the outstanding principal amount at maturity of the Notes initially sold in reliance on Rule 903 of Regulation S.

  • Regulation S Global Securities means one or more permanent global Securities in registered form representing the aggregate principal amount of Securities sold in reliance on Regulation S under the Securities Act.

  • Regulation S Global Covered Bond means a Registered Global Covered Bond representing Covered Bonds sold outside the United States in reliance on Regulation S;

  • Permanent Regulation S Global Note means a permanent Global Note in the form of Exhibit A hereto bearing the Global Note Legend and the Private Placement Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee, issued in a denomination equal to the outstanding principal amount of the Temporary Regulation S Global Note upon expiration of the Restricted Period.
