Regulation S Fixed Rate Dollar Global Note means a Fixed Rate Dollar Global Note bearing the Global Note Legend and the Private Placement Legend and deposited with the Custodian and registered in the name of Cede & Co., as nominee for DTC, that will be issued in an initial amount equal to the principal amount of the Fixed Rate Dollar Notes sold in reliance on Regulation S.
