The Sponsored Regulated Fund Compliance Policies are in compliance with Applicable Law in all material respects.
Each Sponsored Regulated Fund is, and at all times required by Applicable Law since January 1, 2014 has been, in compliance in all material respects with such policies and procedures.
Each of the Sponsored Regulated Funds and, to the Knowledge of the Company, each of the Sub-Advised Registered Funds will be governed by a board of trustees, general partner or board of directors (if any) at least 75% of whom are not “interested persons” (as defined in the Investment Company Act) of the investment adviser to such Regulated Fund.
