Regeneron Know-How definition

Regeneron Know-How means the trade secrets, unpatented technical information, specifications, protocols, and procedures described or referred to in Exhibit A and any unpatented Mice Inventions.
Regeneron Know-How means any and all Know-How now or hereafter during the term of the Discovery Program or the Collaboration owned by, licensed to or otherwise held by Regeneron or any of its Affiliates (other than Sanofi Know-How and Know-How included in Joint Inventions) with the right to sublicense the same that relate to a Licensed Product in the Field and are necessary or useful for the Development, Manufacture or Commercialization of a Licensed Product in the Field, including, without limitation, New Information.
Regeneron Know-How means any and all Know-How now or hereafter during the term of the Discovery Program owned by, licensed to or otherwise held by Regeneron or any of its Affiliates (other than Sanofi Know-How and Know-How included in Joint Inventions) with the right to sublicense the same necessary or useful for the performance of the Discovery Program.

Examples of Regeneron Know-How in a sentence

  • Company shall promptly report in writing to Regeneron during the term of this Agreement any (a) known or suspected infringement of any of the Regeneron Patent Rights, or (b) unauthorized use of any of the Regeneron Know-How of which the Company becomes aware.

  • Subject to Section 8.1, all such Regeneron Know-How and Mice listed in Exhibit A shall be considered Confidential Information.

  • Subject to Section 3.5, Regeneron shall transfer to Company the materials, including Regeneron Know-How and Mice, set forth on Exhibit A.

More Definitions of Regeneron Know-How

Regeneron Know-How means all Know-How Controlled by Regeneron or its Affiliates as of the Effective Date or during the Term that (a) is necessary to Develop or Commercialize a Product in the Kiniksa Field in the Territory or to Manufacture a Product, (b) is useful to Develop or Commercialize a Product in the Kiniksa Field in the Territory, or Manufacture a Product and is actually used by or on behalf of Regeneron or its Affiliates in connection with the Development, Commercialization, or Manufacture of any Product, or (c) constitutes Know-How included in the Product IP. Notwithstanding the foregoing, Regeneron Know-How shall not include any [***] and any other [***] for Kiniksa pursuant to Section 5.6 (Regeneron Performance of Sample Bioanalysis). For clarity, the Regeneron Know-How includes the Regeneron Manufacturing Know-How and excludes Joint Know-How.
Regeneron Know-How means the Know-How that Regeneron or any of its Affiliates Controls at the Effective Date or during the Agreement Term, including any Arising Regeneron Know-How, For clarity, Regeneron Know-How shall not include any Roche Independent IP or Roche Know-How.
Regeneron Know-How means all trade secrets, confidential ------------------ scientific, technical and medical information, experimental results and expertise from time to time developed, produced, created or acquired by or on behalf of Regeneron either prior to the Effective Date and pertaining to the Program or during the term and in the course of carrying out the Program, including, but not limited to, unpatented inventions, discoveries, theories, plans, ideas or designs (whether or not reduced to practice) relating to the research and development, registration for marketing, use, or sale of the Compound, preclinical toxicology and manufacturing for the Compounds, and toxicological, pharmacological, analytical and clinical data, bioavailability studies and formulations, control assays and specification, methods of preparation, and stability data related thereto. To the extent that any of the items listed above are acquired by Regeneron, they shall only fall within the definition of Know-How hereunder to the extent to which there are no obligations or restrictions in respect of such items which would prohibit disclosure by Regeneron or free use by Emisphere or Regeneron.
Regeneron Know-How means the entirx xxxxt, title and interest in Know-how owned solely or jointly by Regeneron with a Third Party. "Joint Know-how" shall mean the entire right, title and interest in Know-how jointly owned by the Parties pursuant to Section 5.1(b).
Regeneron Know-How means (a) all Know-How that is conceived, developed, created or otherwise made by or on behalf of Regeneron (or its Affiliates or its or their sublicensees or Distributors) under or in connection with this Agreement during the Term, and (b) all Know-How that (i) is Controlled as of the Effective Date and at any time during the Term by Regeneron or any of its Affiliates (other than by operation of the license and other grants in ARTICLE 4) and (ii) relates to a VEGF Trap, in each case ((a) and (b)), excluding any Joint Inventions. The term "Regulatory Authority" includes, without limitation, the FDA, the EMEA and the Japanese Ministry of Health, Labour and Welfare. 1.104 "Reporting Country/Region" shall mean each Major Market Country, and each other country or Region for which a Country/Region Commercialization Committee has been established by the JCC. 1.105 "Rest of World" or "ROW" shall mean all Rest of World Countries. 1.106 "Rest of World Country" shall mean any country in the Territory other than the United States. 1.107 "ROW CPI" shall mean the "EU15 CPI" (or its successor equivalent index), which is published monthly and available via The Bloomberg Professional, as published by Bloomberg L.P. 1.108 "Sales Force Cost" shall mean, for Licensed Product(s) in each country in the Territory, the product of (a) the number of ...
