Referenced Annual Financial Statements means the consolidated balance sheet of the Borrower and its Subsidiaries dated as of December 31, 2018, and related statements of income, statements of cash flows and common shareholders’ equity of the Borrower and its Subsidiaries for the fiscal year then ended.

Referenced Annual Financial Statements means (i) prior to the Specified Separation Transaction, the consolidated balance sheet of NiSource and its consolidated Subsidiaries dated as of December 31, 2013, and related statements of income, statements of cash flows and common shareholders’ equity of NiSource and its consolidated Subsidiaries for the fiscal year then ended and (ii) from and after the Specified Separation Transaction, the consolidated balance sheet of the Reporting Parties dated as of December 31, 2014, and related statements of income, statements of cash flows and common shareholders’ equity of the Reporting Parties for the fiscal year then ended, prepared on a Pro Forma Basis giving effect to the Specified Separation Transaction.
