Redemption Transaction means that certain series of transactions consummated in August and September of 1996 pursuant to which (i) the Target redeemed or otherwise reacquired all of its issued and outstanding preferred stock and 441,176 shares of its Class A and Class B common stock, and (ii) RDV became a substantial stockholder of the Target.
