Redemption Documents definition

Redemption Documents means each of the agreements, documents and instruments entered into in connection with the Redemption.

Redemption Documents a duly executed, irrevocable Officers’ Certificate pursuant to Section 3.01 of the Senior Subordinated Notes Indenture directing the Senior Subordinated Trustee to effect the redemption of all of the outstanding Senior Subordinated Notes (and to pay to the Administrative Agent for application in accordance with the Agreement any amounts not used to effect such redemption) and a sufficient number of copies of the irrevocable notice of redemption notifying the Senior Subordinated Note Holders of such redemption on or before June 30, 2001 to be mailed to such note holders on the date of the effectiveness of the consent set forth in Article IV hereof, in each case in form and substance satisfactory to the Administrative Agent.

Examples of Redemption Documents in a sentence

• The Company shall prepare all necessary and appropriate documentation in connection with such Optional Redemption (collectively, the “Redemption Documents”), consult with Parent and afford Parent a reasonable opportunity to review and comment upon the Redemption Documents and give reasonable consideration to the comments, if any, raised by Parent.

• Redemption Documents delivered after 5p.m shall be deemed to have been delivered on the next Business Day.

• The Company hereby authorizes you to act on its behalf in accordance with this Agreement and the terms of the Redemption Documents (defined below), which Redemption Documents you and any other broker or dealer or any commercial bank or trust company or nominee approved by the Company (collectively, the "Brokers") are entitled to use in connection with the solicitation of the exercise of the Subject Warrants prior to the date the Subject Warrants are to be redeemed (the "Redemption Date").

More Definitions of Redemption Documents

Redemption Documents means the Preferred Stock Redemption Agreement and the Release Agreement.

Redemption Documents all Offers to Purchase and related letters of transmittal or similar documents used in connection with the Redemptions.

Redemption Documents has the meaning specified in Section 3.07(a).

Redemption Documents means (i) with respect to the Redemptions, the Stock Redemption Agreement between the Borrower and Xxxxxxx X. Xxxx, the Stock Option Redemption Agreement between the Borrower and Xxxxxx X. Xxxx, the Escrow and Pledge Agreement between Borrower and Xxxxxxx X. Xxxx and the Subordinated Indebtedness Documents entered into in connection therewith, in each case, in the form provided to the Agent and Lenders prior to the Original Closing Date or otherwise in form and substance acceptable to Agent in its sole discretion and (ii) the Stock Redemption Agreement dated February 1, 2012 between the Borrower and M. Xxxxxx Xxxxxxx and trusts for his benefit and for the benefit of his family (collectively, “Xxxxxxx”), the Pledge and Escrow Agreement dated February 1, 2012 between the Borrower and Xxxxxxx, and Subordinated Indebtedness Documents entered into in connection therewith.
