Receiving Date definition

Receiving Date means the date indicated in the Receiving Schedule as the date by when Fujifilm will receive a shipment of Starting Material from Sponsor, provided that, unless the Parties agree otherwise in writing (which may be via email) such date shall be no more than [**] before the target Manufacture Start Date for the applicable Batches identified by Fujifilm pursuant to Section 2(f) and provided further that the Receiving Date shall be [**] after Sponsor’s receipt of the Receiving Schedule.
