Receivable Assets definition

Receivable Assets means ordinary course of business accounts receivable of the Parent or any of its Subsidiaries, and any assets related thereto, including, without limitation, all collateral securing such accounts receivable, all contracts and contract rights and all guarantees or other obligations in respect of such accounts receivable, proceeds of such accounts receivable and other assets (including contract rights) which are customarily transferred or in respect of which security interests are customarily granted in connection with asset securitization transactions involving accounts receivable and/or receivables-discount-without-recourse schemes.
Receivable Assets has the meaning specified in Section 2.01(a).
Receivable Assets shall, as used in the Origination Agreements, have the meaning assigned in Section 2.01(a) thereof/or the respective corresponding provision of such Originator Agreement.

  • Unrelated Amounts shall not be treated as Available Amounts on Receivable Assets and shall not be subject to the provisions of Section 2.12.

  • If a Servicer Default shall have occurred and be continuing, promptly upon request therefor, the Servicer shall deliver to the Issuer records reflecting activity with respect to the Receivable Assets through the close of business on the immediately preceding Business Day.

  • The Servicer shall comply in all material respects with the Credit and Collection Policies with respect to the Receivable Assets and in all material respects with applicable law with respect to the Receivable Assets, unless, in either case, such failure to comply would not be reasonably expected to cause a Material Adverse Effect on the Servicer or the Issuer.


More Definitions of Receivable Assets

Receivable Assets means the Receivables, the related Equipment and the Related Security.
Receivable Assets. The assets described in clauses (i) through (ix), inclusive, of subsection 2.1 hereof.

Receivable Assets means the assets sold, transferred, conveyed and assigned by NAFI to National Financial pursuant to this Agreement, which consist of (i) all Receivables identified in the Receivables Schedules attached to the Conveyances delivered hereunder on each Subsequent Transfer Date and all monies received thereon on or after the related Cut-off Date (including amounts due on or before the Cut-off Date but received by NAFI on or after such Cut-off Date); (ii) any proceeds and the right to receive proceeds with respect to the Receivables from claims on any physical damage, credit life or disability insurance policies covering Financed Vehicles or Obligors, including rebates of insurance premiums relating to the Receivables and any proceeds from the liquidation of the Receivables; (iii) all rights against Dealers pursuant to Dealer Agreements or against Originators pursuant to Originator Agreements; (iv) the related Receivable Files and any and all other documents that NAFI keeps on file in accordance with its customary procedures relating to the Receivables, the Obligors or the Financed Vehicles; (v) property (including the right to receive future Liquidation Proceeds) that secures a Receivable and that has been acquired by or on behalf of the Trust pursuant to liquidation of such Receivable; (vi) all funds on deposit from time to time in the Trust Accounts (less all investments and proceeds thereof) and all rights of the Issuer therein; and (vii) the proceeds of any and all of the foregoing.
Receivable Assets means, at any time, all Seller Receivables sold or contributed to the Buyer hereunder, the Related Security relating to such Seller Receivables, all Collections with respect to such Seller Receivables, and all proceeds of the foregoing.
