  • Upon the terms and subject to the conditions of this Agreement, prior to the Closing Date, Buyer will use its Commercial Efforts to assist Recap Co and Recap Subco to obtain debt financing all upon the terms and conditions set forth in the Commitment Letters (the "Recapitalization").
