In the event of termination, CONSULTANT shall, within ten (10) days following the date of termination, deliver to RCPA all materials subject to the provisions of paragraph 15 and submit to RCPA an invoice for work performed and reimbursable expenses incurred up to the date of termination.
RCPA represents to each of the other Members, including ABAG, that the material to be prepared under this 2018 Agreement will not infringe upon the copyright, patent or license, or otherwise violate the proprietary rights, including trade secret rights, of any person or entity.
RCPA has relied upon the professional ability and training of CONSULTANT as a material inducement to enter into this Agreement.
