Quotation/Invoice definition

Quotation/Invoice means a document that we produce and that refers to this License and describes in greater detail Your order-specific information including, but not limited to: Your billing information, the duration of the License, the method of delivery and pricing. Such information is incorporated into this License by reference.
Quotation/Invoice shall have the meaning set out above;

  • We shall provide the Software to You in accordance with the method set out on the Quotation/Invoice.

  • Depending on the country where Your address is located (as indicated on the Quotation/Invoice), this License is subject to the laws of the country or state as set out below and to the exclusive jurisdiction of the courts of that country or state.

  • Any notices required or permitted to be given hereunder shall be delivered by personal delivery, express courier, or recorded delivery, postage prepaid, return receipt requested, to a party's address set forth in the Quotation/Invoice, or if to Us to the address of the Innovyze entity with whom You have contracted, as set out above.

  • You may permit access to, and use of, the Software by a Contractor, provided that: (i) the Contractor agrees to comply with the terms of this License and to access and use the Software solely for purposes of rendering services to You; and (ii) the total number of Authorised Users accessing and using the Software on behalf of You and/ or Contractor must not exceed the number of Authorised Users set out in the Quotation/Invoice.

  • Fees or other charges shall be as specified in the Quotation/Invoice.

  • Subject to Your compliance with this License, You are granted, for the Term, a limited, non-exclusive, personal and non- transferable license for access to and use of the object code of the Software by the number of Authorised Users and at the premises specified in the Quotation/Invoice, in accordance with the terms and conditions of this License.

  • We will invoice You for the Fees in accordance with the billing terms set out in the Quotation/Invoice.

  • In the event of a WAN license being specified in the Quotation/Invoice then You may only permit access to the WAN from locations specified in the current Quotation/Invoice.

  • This License and the Quotation/Invoice constitutes the entire agreement between the parties and supersedes all prior or contemporaneous conditions, agreements, communications or representations, whether oral or written, relating to the subject matter hereof.

  • Depending on the country where Your address is located (as indicated on the Quotation/Invoice), this Subscription Agreement is subject to the laws of the country or state as set out below and to the exclusive jurisdiction of the courts of that country or state.

Related to Quotation/Invoice

  • Scrap metal dealer means a person or governmental unit that buys scrap metal and is not a first purchaser. The term includes, but is not limited to, a person, whether or not licensed under state law or local ordinance, that operates a business as a scrap metal recycler, scrap processor, secondhand and junk dealer, or other person that purchases any amount of scrap metal on a regular, sporadic, or 1-time basis.

  • Invoice means a Contractor’s claim for payment. At the Agency’s discretion, claims may be submitted on an original invoice from the Contractor or may be submitted on a claim form accepted by the Agency, such as a General Accounting Expenditure (GAX) form.

  • Valid Invoice means an invoice containing the detailed information set out in clause C2 (Payment and VAT).

  • Proper Invoice means a written request for Payment that is submitted by a Contractor setting forth the description, price or cost, and quantity of goods, property or services delivered or rendered, in such form, and supported by such other substantiating documentation, as NYSERDA may reasonably require, including but not limited to any requirements set forth in Exhibits A or B to this Agreement; and addressed to NYSERDA’s Controller, marked “Attention: Accounts Payable,” at the Designated Payment Office.

  • Quotation Date means, in relation to any period for which an interest rate is to be determined under any provision of a Finance Document, the day which is 2 Business Days before the first day of that period, unless market practice differs in the London Interbank Market for a currency, in which case the Quotation Date will be determined by the Agent in accordance with market practice in the London Interbank Market (and if quotations would normally be given by leading banks in the London Interbank Market on more than one day, the Quotation Date will be the last of those days);
