Quarterly Performance Incentive Amount definition

Quarterly Performance Incentive Amount means, in the case of any Participant, the amount of the Quarterly Performance Incentive for such Participant as set forth on Schedule A.
Quarterly Performance Incentive Amount means, in the case of any Participant, the amount of the Quarterly Performance Incentive for such Participant as determined by the Committee; provided that in no event may the Quarterly Performance Incentive Amount for the Second Quarter or the Third Quarter exceed the Target Performance Incentive Amount for such quarter.

Examples of Quarterly Performance Incentive Amount in a sentence

  • Subject to the provisions of this Plan, each Participant shall earn a Quarterly Performance Incentive as of the end of the Second, Third and Fourth Quarter, equal to all or a portion of the Quarterly Performance Incentive Amount, depending upon the extent to which the Performance Goals set forth in Schedule A have been achieved for such Quarter.

  • A Participant shall earn, in addition to any Quarterly Performance Incentive payable for the Third Quarter pursuant to Section 6(a) above, an amount equal to (i) the aggregate Quarterly Performance Incentive Amount payable based on achievement of the Cumulative Performance Goal as of the end of the Third Quarter, minus (ii) the Quarterly Performance Incentive Amount actually paid for the Second Quarter, if any, and payable for the Third Quarter pursuant to Section 6(a) above.

  • A “catch-up” payment will be made if the Company exceeds the Quarterly Target Performance Goal for the Third Quarter and meets or exceeds the Quarterly Threshold Performance Goal for the Fourth Quarter and less than 100% of the Cumulative Quarterly Performance Incentive Amount for such Quarter has been earned.

  • A Participant shall earn, in addition to any Quarterly Performance Incentive payable for the Fourth Quarter pursuant to Section 6(a) above, an amount equal to (i) the aggregate Quarterly Performance Incentive Amount payable based on achievement of the Cumulative Performance Goal as of the end of the Fourth Quarter, minus (ii) the Quarterly Performance Incentive Amount actually paid for the Second and Third Quarters, if any, and payable for the Fourth Quarter pursuant to Section 6(a) above.

  • Quarterly Performance Incentive Amount earned in accordance with Section 6(a) of the Plan.

Related to Quarterly Performance Incentive Amount

  • Target Bonus Amount means Executive’s target annual bonus amount in effect at the time of Executive’s Qualifying Termination (disregarding any decrease in such target annual bonus amount that constitutes a Good Reason event).

  • Performance Cash means any cash incentives granted pursuant to Article 9 payable to the Participant upon the achievement of such performance goals as the Committee shall establish.

  • Target Bonus Percentage means, with respect to any Executive, the target bonus percentage specified for such Executive in his or her Employment Agreement.

  • Performance Percentage means the factor determined pursuant to a Performance Schedule that is to be applied to a Target Award and that reflects actual performance compared to the Performance Target.

  • Performance Year means the calendar year prior to the year in which an Annual Award is made by the Committee.

  • Cash Performance Award means an Award that is denominated by a cash amount to an Eligible Person under Section 10 hereof and payable based on or conditioned upon the attainment of pre-established business and/or individual Performance Goals over a specified performance period.

  • Performance Bonus means the performance bonus in respect of each Class payable to the General Partner by the Partnership which will be equal to 20% of the product of: (a) the number of Units of that Class outstanding on the Performance Bonus Date; and (b) the amount by which the Net Asset Value per Unit of that Class on the Performance Bonus Date (prior to giving effect to the Performance Bonus) plus the aggregate value of all distributions per Unit of that Class during the Performance Bonus Term exceeds $25.00.

  • Performance Measurement Period has the meaning set forth in Section 3.1(e)(ii).

  • Adjusted EPS means earnings per share further adjusted for share-based payments, amortization of acquired intangible assets, items outside the normal scope of our ordinary activities (including other items, within selling, general and administrative expenses, losses/(gains) on items held at fair value and remeasurements through profit and loss, impairment losses on tangible assets, and impairment losses on intangible assets) and the related tax effects of these adjustments. Adjusted EPS provides a basis for comparison of our business operations between current, past and future periods by excluding items that we do not believe are indicative of our core operating performance. Adjusted EPS may not be comparable to other similarly titled metrics of other companies.

  • Cash Incentive Award means a cash award granted pursuant to Section 8 of this Plan.

  • Bonus Amount means the greater of (i) the average annual incentive bonus earned by Executive from the Company (or its affiliates) during the last three (3) completed fiscal years of the Company immediately preceding Executive’s Date of Termination (annualized in the event Executive was not employed by the Company (or its affiliates) for the whole of any such fiscal year), and (ii) the Executive’s target annual incentive bonus for the year in which the Date of Termination occurs.

  • Average Incentive Compensation means the average of the annual incentive compensation under Subparagraph 3(a) received by Executive for the three (3) immediately preceding fiscal years or such fewer number of complete fiscal years as Executive may have been employed by the Company. In no event shall “Average Incentive Compensation” include any sign-on bonus, retention bonus or any other special bonus. Notwithstanding the foregoing, if the Executive breaches any of the provisions contained in Paragraphs 4 and 5 of this Agreement, all payments of the Severance Amount shall immediately cease. Notwithstanding the foregoing, in the event Executive terminates his employment for Good Reason as provided in Subparagraph 6(e), he shall be entitled to the Severance Amount only if he provides the Notice of Termination provided for in Subparagraph 6(f) within thirty (30) days after the occurrence of the event or events which constitute such Good Reason as specified in clauses (A), (B), (C), (D), (E) and (F) of Subparagraph 6(e);

  • Performance Cash Award means an award of cash granted pursuant to the terms and conditions of Section 6(c)(ii).

  • Annual performance report means a written appraisal of the teaching staff member's performance prepared by the teaching staff member’s designated supervisor based on the evaluation rubric for his or her position.

  • Quarterly Period means each period of three (3) consecutive months ending on March 31, June 30, September 30, and December 31.

  • Payout Period means the time frame during which certain benefits payable hereunder shall be distributed. Payments shall be made in monthly installments commencing on the first day of the month following the occurrence of the event which triggers distribution and continuing for a period of one hundred eighty (180) months. Should the Executive make a Timely Election to receive a lump sum benefit payment, the Executive's Payout Period shall be deemed to be one (1) month.

  • Bonus Target means the annual bonus that the Executive would have received in a fiscal year under the AIP Plan and/or the EIC Plan, if the target goals had been achieved.

  • Award Value means the value, in dollars, of an award made to a Participant and as stated in the applicable Award Agreement, which is provided under the Plan in the form of PSUs or RSUs, as the case may be.

  • Cash Bonus means an award of a bonus payable in cash pursuant to Section 10 hereof.

  • Energy Performance Score means the numeric rating generated by Portfolio Manager that compares the Energy usage of the building to that of similar buildings.

  • Average Bonus means the average of the bonuses paid to Employee over the last two years (or such lesser number of years in which Employee was eligible to receive a bonus) in which the Employee was eligible to receive a bonus.

  • Payout Percentage means the percentage (between 0% and 200%) determined by the Committee in accordance with the procedures set forth in Paragraph 2, which shall be used to determine the value of each Performance Unit.

  • Long-Term Performance Award means an award under Section 10 below. A Long-Term Performance Award shall permit the recipient to receive a cash or stock bonus (as determined by the Committee) upon satisfaction of such performance factors as are set out in the recipient's individual grant. Long-Term Performance Awards will be based upon the achievement of Company, Subsidiary and/or individual performance factors or upon such other criteria as the Committee may deem appropriate.

  • Annual Incentive Award means an Award made subject to attainment of performance goals (as described in Section 14) over a performance period of up to one year (the Company’s fiscal year, unless otherwise specified by the Committee).

  • Annual Bonus shall have the meaning set forth in Section 4(b) below.

  • Performance Milestone means an act or event specified in section 5.1 and described in section 9 of the EPLA.
