Qualifying Interests definition

Qualifying Interests means "mortgages and other liens on and interests in real estate," as defined in Section 3(c) (5) (C) under the Investment Company Act.
Qualifying Interests means “mortgages and other liens on and interests in real estate,” as such term has been defined by SEC staff. Under current SEC staff interpretations, we must maintain at least 55% of our assets directly in Qualifying Interests.
Qualifying Interests means a direct or indirect holding in a manager which represents at least 10% of the capital or the voting rights, cf. the regulations implementing Articles 9 and 10 of Directive 2004/109/EC of 15 December 2004 on the harmonisation of transparency requirements in relation to information about issuers whose securities are admitted to trading on a regulated market, taking into account the conditions regarding aggregation of the holding, cf. the regulations implementing Article 12(4) and (5) of the relevant directive, or which makes it possible to exercise a significant influence over the management of the manager in which that holding subsists.

Examples of Qualifying Interests in a sentence

  • If Buyer elects to acquire such Non-Qualifying Interests, then such Non-Qualifying Interests shall be treated as Qualifying Interests for purposes hereof (and ▇▇▇▇▇ agrees to advance to Seller an amount equal to the Estimated Third Party Expenses Amount for such Non-Qualifying Interests that Buyer elects to acquire within five (5) business days of any such election).

  • Upon notice from Client that Client intends to rely on section 3(c)(5) of the 1940 Act, Adviser will at all times ensure that the Account holds not less than 55% of its total assets in Qualifying Interests and not less than 25% of its total assets in Non-qualifying Interests, except that such latter percentage may be reduced to the extent that the Account’s investments in Qualifying Interests exceeds 55%.

  • Adviser shall adjust the percentage of assets invested in Qualifying Interests and Non-qualifying Interests if so directed by Client.


More Definitions of Qualifying Interests

Qualifying Interests pursuant to subsection (1) shall mean direct or indirect ownership of 10 percent or more of the capital or voting rights, or ownership of an interest which provides the opportunity for exercising significant influence on the management of the E-money institution.
