Qualified Competitor definition

Qualified Competitor means an Acquired Business that is competitive with and in the same business with a business of the Company or any of its Subsidiaries, where the Company's Board of Directors determines, in its reasonable judgment, that substantially all overhead expenses of the Acquired Business during the trailing twelve months immediately preceding the acquisition of such Acquired Business are duplicative with overhead expenses of the Company or any of such Subsidiaries and such duplicative expenses will be eliminated within six (6) months immediately following the purchase of the Acquired Business.
