Qualification Event definition

Qualification Event has the meaning given to that term on the face page of this Agreement;
Qualification Event means the occurrence of (i) the sale of all or substantially all of the assets of the Company to a Person that is not an Affiliate of the Company or of any stockholder of the Company as of the date of this Agreement or (ii) the sale of more than fifty percent (50%) of the Common Stock on a fully-diluted basis (assuming conversion or exercise of all outstanding securities convertible into Common Stock and other rights to acquire Common Stock) to a Person that is not an Affiliate of the Company or of any stockholder of the Company as of the date of this Agreement.
Qualification Event means both: (i) the Corporation receiving from the Ontario Securities Commission, as the principal regulator under the passport system procedures provided for under Multilateral Instrument 11-102 – Passport System and National Policy 11-202 – Process for Prospectus Reviews in Multiple Jurisdictions, a Receipt (as such term is defined under the Special Warrant Indenture), evidencing that each Securities Regulator (as such term is defined under the Special Warrant Indenture) has issued a receipt for the Prospectus (as such term is defined under the Special Warrant Indenture); and (ii) the United States Securities and Exchange Commission declaring effective the Registration Statement (as such term is defined under the Special Warrant Indenture);

Examples of Qualification Event in a sentence

  • The Corporation further agreed that in the event that the Qualification Event was not completed on or before 5:00 pm (EST) on the date that is 60 days following the date of issuance of the Special Warrants (the "Qualification Deadline"), each unexercised Special Warrant will thereafter entitle the holder to receive, upon the exercise thereof, at no additional cost, 1.1 Units per Special Warrant (instead of one (1) Unit) (the "Penalty Provision").

  • DBS Bank has given notice in accordance with the Issuer Articles following the occurrence of a Tax Event or a Change of Qualification Event that it elects to effect an exchange of the SPV Preference Shares for the Substitute Preference Shares (as the case may be).

More Definitions of Qualification Event

Qualification Event means (i) in the event the Final Qualification Prospectus is a final short form prospectus, the Company obtaining a Final Receipt therefor; or (ii) in the event the Final Qualification Prospectus is a Prospectus Supplement, the Company filing the Prospectus Supplement with the OSC, or such other principal regulator of the Company, as applicable, in accordance with NI 44-102, as the case may be;
Qualification Event means both: (i) the Corporation receiving from the Ontario Securities Commission, as the principal regulator under the Passport System, the Receipt evidencing that each Securities Regulator has issued a receipt for the Prospectus; and (ii) the SEC declaring effective the Registration Statement;
Qualification Event means the date on which the Ontario Securities Commission, as the principal regulator under the passport system procedures provided for under Multilateral Instrument 11-102 – Passport System and National Policy 11-202 – Process for Prospectus Reviews in Multiple Jurisdictions, issues a Receipt (as such term is defined under the Special Warrant Indenture) evidencing that each Securities Regulator (as such term is defined under the Special Warrant Indenture) has issued a receipt for the Prospectus (as such term is defined under the Special Warrant Indenture);

Qualification Event means the date that a Final Receipt for the Prospectus is issued by the BCSC, as principal regulator;
