  • QMT shall own all right, title and interest in the copyright, patent, trademark, trade secret or other intellectual property rights in the QMT Compound or any Improvements which are conceived or reduced to practice by QMT or BASF.

  • QMT will have and retains sole and exclusive title to all inventions, developments, improvements, discoveries and Know-how relating to the QMT Compound and Improvements which are made, conceived or reduced to practice by QMT or by BASF, or by Affiliates, employees, consultants, agents or other Persons acting under its authority of either BASF or QMT in the course of or as a result of this Agreement.

  • The fund cannot, in a proper exercise of its fiduciary duty, make investment decisions that are aimed at avoiding having to rely a guarantee which the municipality agreed to provide.

  • In the event that a Third Party asserts or alleges that the QMT Compound infringes a patent or other proprietary right of such Third Party, QMT shall assume the defense of such claim and shall indemnify BASF for all damages incurred by it as a result of such claim.

  • A person may claim compensation if the person incurs loss because of the exercise, or purported exercise, of a power by or for an authorised person including a loss arising from compliance with a requirement made of the person under this part.

  • In any calendar year, BASF’s liability hereunder shall not exceed the sum of all Distribution Fees paid to QMT in such calendar year except to the extent that such liability, damage, loss or expense is directly attributable to the gross negligence or intentional misconduct of BASF or to product liability claims for Actives, QMT Compound, or Cosmetic Product Formulations which are directly based on the acts or omissions of BASF.

  • In the event that a Third Party asserts or alleges that a Licensed Product manufactured or sold by BASF or its Affiliates infringes a patent or other proprietary right of such Third Party, except if such Licensed Product is the QMT Compound, BASF shall assume the defense of such claim at its sole cost.

  • Further, in the event BASF sells Actives or the QMT Compound to a Third Party solely for use by BASF to produce a Cosmetic Product Formulation to be sold to such Third Party, QMT shall be paid a Distribution Fee on Net Revenues of the Active or QMT Compound sale, not thesale of the Cosmetic Product Formulation.

  • QMT may not enter into any settlement, consent judgment or other voluntary final disposition of any infringement or declaratory judgment action hereunder with respect to the QMT Compound in the Field without the prior written consent of BASF, which shall not be unreasonably withheld or delayed or conditioned.

  • QMT shall notify BASF of all potential infringers of its Patent Rights with respect to the QMT Compound in the Field.

  • Exempt compound means the same as defined in Rule 2.

  • Collaboration Compound means any of the following: (a) FG-4592, (b) any HIF Compound (other than FG-4592) that is added to this Agreement pursuant to Section 3.6, and (c) any salts, esters, complexes, chelates, crystalline and amorphous morphic forms, pegylated forms, enantiomers (excluding regioisomers), prodrugs, solvates, metabolites and catabolites of any of the foregoing ((a) or (b)).

  • Licensed Compounds means any EZH2 Compound(s) that is:

  • Lead Compound means any compound of lead other than galena which, when treated in the manner described below, yields to an aqueous solution of hydrochloric acid a quantity soluble lead compound exceeding, when calculated as lead monoxide, five percent of the dry weight of the portion taken analysis.

  • Back-Up Compound means, with reference to any particular Development Candidate or Drug Product Candidate, a Compound which (a) has the same principal mode of action (i.e., Potentiator or Corrector) as that Development Candidate or Drug Product Candidate; and (b) was among the group of Compounds, identified by VERTEX as potential additional lead molecules having the same principal mode of action, from which the Development Candidate was selected.

  • Compound means the taking of two or more ingredients and fabricating them into a single

  • Product Candidate means any pharmaceutical product developed, manufactured and/or tested by or on behalf of the Company that has not received a Regulatory Authorization for commercial distribution other than in connection with pre-clinical or clinical trials.

  • Collaboration Product means a pharmaceutical product containing or comprising Compound in any dosage form alone, or in combination with, one or more other pharmaceutically active ingredients, and any and all Improvements thereto.

  • Diagnostic Product means any test or assay for diagnosing or detecting a disease, disorder, medical condition, or symptom.

  • Licensed Product means a product, method or service in the Licensed Field of Use, the making, having made, using, importing or selling of which, absent this license, infringes, induces infringement, or contributes to infringement of a Licensed Patent.

  • Compounds means any or all of the following chemicals, as the context requires:

  • Collaboration Target means the Initial Collaboration Targets set forth on Exhibit F and any Additional Target or Substitute Target that is selected in accordance with Section 3.3 of this Agreement.

  • Hemp product means the same as that term is defined in § 3.2-4112.

  • Development Candidate means a Collaboration Compound designated by Biogen Idec as a Development Candidate in accordance with Section 2.6.

  • Drug Product means a specific drug in dosage form from a known source of manufacture, whether

  • Biosimilar Product means, with respect to a Licensed Product in any country, any biosimilar product sold by a Third Party not authorized by or on behalf of Celgene, its Affiliates or Sublicensees, (a) that is a biosimilar biological product, as defined in 21 USC 379j-51 (or any successor or replacement thereof), a similar biological medicinal product, as defined in Annex I to Directive 2001/83/EC (or any successor or replacement thereof), or any similar biosimilar or generic product under the Laws of any country or jurisdiction, or (b) regarding which Regulatory Approval is obtained by referencing Regulatory Data of such Licensed Product.

  • Combination Product means any product that comprises a Licensed Compound or Licensed Product sold in conjunction with another active component so as to be a combination product (whether packaged together or in the same therapeutic formulation).

  • New Product means the Synology-branded hardware product and Synology-branded accessories contained in the original packaging Customer bought from an authorized Synology distributor or reseller. You may see our “New Product” at Product Support Status.

  • Covered Product The consumer product that You purchased concurrently with and is covered by this Agreement.

  • Biological product means a virus, therapeutic serum, toxin, antitoxin, vaccine, blood, blood component or derivative, allergenic product, protein other than a chemically synthesized polypeptide, or analogous product, or arsphenamine or any derivative of arsphenamine or any other trivalent organic arsenic compound, applicable to the prevention, treatment, or cure of a disease or condition of human beings.

  • Biological Samples means any physical samples obtained from Study Participants in accordance with the Protocol for the purposes of the Study.

  • Nicotine product means a product that contains nicotine and is not any of the following:

  • Antibody means a molecule or a gene encoding such a molecule comprising or containing one or more immunoglobulin variable domains or parts of such domains or any existing or future fragments, variants, modifications or derivatives thereof.

  • Collaboration Patent Rights means Patent Rights claiming Collaboration Know-How.

  • Drug Substance means an active ingredient that is intended to furnish pharmacological activity or other direct effect in the diagnosis, cure, mitigation, treatment, or prevention of disease or to affect the structure or any function of the human body, but does not include intermediates used in the synthesis of such ingredient.
