Put Exercise Notice definition
Put Exercise Notice shall have the meaning specified in Section 13.02(c).
Put Exercise Notice means a written notice, in substantially the form of Exhibit B attached hereto, from a Grantee to the Company exercising such Grantee's Put Option and specifying the number of Shares with respect to which such Put Option is being exercised.

The Holder Shares for which the Put Right has been exercised in accordance with a validly executed and delivered Put Exercise Notice are hereinafter referred to as the “Put Exercised Shares.” The Put Right shall be deemed to have been exercised with respect to the Put Exercised Shares immediately prior to the close of business on the date of receipt of the Put Exercise Notice by the Company (the “Exercise Date”).
