Pursuant to authority granted the Investment Adviser by the Fund's Trustees and pursuant to the provisions of the Investment Advisory Agreement currently in effect between the Investment Adviser and the Fund, the Investment Adviser has selected the Subadviser to act as a sub-investment adviser of the Fund and to provide certain other services, as more fully set forth below, and the Subadviser is willing to act as such sub-investment adviser and to perform such services under the terms and conditions hereinafter set forth. Accordingly, the Investment Adviser and the Fund agree with the Subadviser as follows:
