Purchaser Ordinary Shares definition

Purchaser Ordinary Shares means the ordinary shares of Purchaser, par value US$0.0001 per share.

Purchaser Ordinary Shares means the Purchaser Class A Ordinary Shares and the Purchaser Class B Ordinary Shares, collectively.

Purchaser Ordinary Shares means, collectively, (i) the class A purchaser ordinary shares of US$0.0001 par value each of the Purchaser (the “Class A Purchaser Ordinary Shares”) and (ii) the class B purchaser ordinary shares of US$0.0001 par value each of the Purchaser (the “Class B Purchaser Ordinary Shares”).

• The parties acknowledge that the shares issued or issuable pursuant to this provision shall count against the total number of Purchaser Ordinary Shares issuable pursuant to Awards (as defined therein) issuable pursuant to the equity incentive plan of Purchaser to be adopted in accordance with Section 9.3(h) hereof.

• In the event that applicable Laws require Purchaser to appoint additional members to its board of directors in order to comply with applicable independence requirements, Sponsor Designee agrees to grant a proxy to Seller with respect to the vote of all Purchaser Ordinary Shares beneficially owned by it with respect to the appointment of any such independent director(s) or director nominee(s).

• There is no Action (or any basis therefore) pending against threatened against or affecting, Purchaser, any of its officers or directors or any Purchaser Units, Purchaser Ordinary Shares or Purchaser Warrants or any of Purchaser’s assets or Contracts before any court, Authority or official or which in any manner challenges or seeks to prevent, enjoin, alter or delay the transactions contemplated hereby or by the Additional Agreements.

• Purchaser shall (a) cause the Closing Payment Shares to be approved for listing on and tradable over the Nasdaq Capital Market on a tier no lower than the Purchaser Ordinary Shares trade on the date hereof, (b) cause the Purchaser Units, Purchaser Ordinary Shares and the Purchaser Warrants to remain listed on the Nasdaq Capital Market from and after the date hereof until the earlier of the Closing Date and the termination of this Agreement in accordance with Article XII.

• Each of the Pubco Public Warrants shall have, and be subject to, substantially the same terms and conditions set forth in the Purchaser Public Warrants, and each of the Pubco Private Warrants shall have, and be subject to, substantially the same terms and conditions set forth in the Purchaser Private Warrants, except that in each case they shall represent the right to acquire Pubco Ordinary Shares in lieu of Purchaser Ordinary Shares.

More Definitions of Purchaser Ordinary Shares

Purchaser Ordinary Shares means the ordinary shares, no par value, of Purchaser.

Purchaser Ordinary Shares means the ordinary shares, par value $.0001 per share, of Purchaser prior to the Conversion.

Purchaser Ordinary Shares means ordinary shares of the Purchaser, nominal value NIS 0.04 per share. The amount of Merger Shares and Ordinary Shares of the Purchaser to be transferred by Gamida to Purchaser as stated herein are based on a nominal value of NIS 0.04 per share. Accordingly, if the Purchaser effects any reverse stock split, split, subdivision or combination of shares, the number of such Merger Shares and Ordinary Shares of the Purchaser shall be adjusted accordingly to reflect such reverse stock split, split, subdivision or combination, as applicable.

Purchaser Ordinary Shares means, collectively, (i) the Class B ordinary shares of Purchaser, with respect to Chipring Technology Limited and (ii) the Class A ordinary shares of Purchaser, with respect to all other shareholders. Each such Class B ordinary shares shall have five (5) votes, and each such Class A ordinary shares shall have one (1) vote, with certain rights and privileges set forth in the amended and restated Memorandum and Articles of Association of Redomestication Merger Surviving Corporation, as defined in the Merger Agreement.

Purchaser Ordinary Shares shall have the meaning set forth in Section 4.9(a).

Purchaser Ordinary Shares means, collectively, (i) the class A ordinary shares of $0.0001 par value each of the Purchaser (the “Class A Purchaser Ordinary Shares”) and (ii) the class B ordinary shares of $0.0001 par value each of the Purchaser (the “Class B Purchaser Ordinary Shares”). Each Class A Purchaser Ordinary Share shall have one (1) vote, and each Class B Purchaser Ordinary Share shall have ten (10) votes, each with certain rights and privileges set forth in the Amended MAA and restated Memorandum and Articles of Association of Redomestication Merger Surviving Corporation substantially in the form attached hereto as Exhibit A.

Purchaser Ordinary Shares means the Ordinary Shares, $.001 par value per share, of Purchaser.
