Purchaser Indemnity Agreement definition

Purchaser Indemnity Agreement means an agreement, in form and substance reasonably acceptable to the Seller, pursuant to which the Purchaser agrees to indemnify the Seller Indemnified Parties from and against any and all indemnifiable losses (as determined under the applicable Related Agreement) (other than any Conveyance Document, which the parties acknowledge and agree are the subject of Section 12.2(a) and 12.3(a)), to be negotiated in accordance with Section 6.3. "Purchaser's 401(k) Plan" shall have the meaning set forth in Section 11.4(b).
