PurchasedShares means, collectively, two million six hundred and twenty thousand (2,620,000) shares of common stock of the Corporation owned by the Vendor to be sold by the Vendor to the Purchaser hereunder;
Purchased Stock means a right to purchase Common Stock granted pursuant to Article IV of the Plan.
Purchased Shares has the meaning set forth in Section 2.01.
Seller Shares means all shares of Common Stock of the Company owned as of the date hereof or hereafter acquired by a Common Holder, as adjusted for any stock splits, stock dividends, combinations, subdivisions, recapitalizations and the like.
Purchased Units means, with respect to a particular Purchaser, the number of Common Units set forth opposite such Purchaser’s name under the column titled “Purchased Units” set forth on Schedule A hereto.
Acquired Shares has the meaning set forth in the Recitals.
Purchaser Shares means the common shares in the capital of the Purchaser.
Purchased means the date shown on the front of the cashed check, the date of the financial transaction, or the date on the engine purchasing agreement, whichever is earliest.
Purchased Securities has the meaning assigned in the Terms;
Purchase Shares has the meaning set forth in Section 2.2(a) hereof.
Transferred Shares means all or any portion of a Member’s Shares that the Member seeks to Transfer.
Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.
Coop Shares Shares issued by a Cooperative Corporation.
Purchased Interests has the meaning set forth in the Recitals.
Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.
Sale Shares shall have the meaning given to it in Recital (B);
Purchaser Common Stock means the common stock, par value $0.01 per share, of Purchaser.
Sold Shares shall have the meaning specified in Section 6.
Common Shares means the common shares in the capital of the Corporation;
Purchaser Warrants means Purchaser Private Warrants and Purchaser Public Warrants, collectively.
Subscription Shares has the meaning ascribed to it in Section 2.1.
Company Shares means the common shares in the capital of the Company;
Issued Shares means, collectively, all outstanding Shares issued pursuant to Restricted Stock Awards, all outstanding Shares issued pursuant to Unrestricted Stock Awards, and all Option Shares.
Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.
Subscribed Shares means, as of any date of determination, the Subscribed Shares (as defined in the recitals to this Subscription Agreement) and any other equity security issued or issuable with respect to the Subscribed Shares by way of stock split, dividend, distribution, recapitalization, merger, exchange, or replacement, and (ii) “Subscriber” shall include any person to which the rights under this Section 5 shall have been duly assigned.
Option Stock shall have the meaning set forth in Section 2(a) hereof.
Exchange Shares has the meaning set forth in Section 2.01(b).
