Purchased Option Shares means, as of the relevant time of reference thereto, those Option Shares that have been purchased by the Optionee at such time or at any time prior thereto in accordance with the provisions of Section 5 hereof.

  • Except as expressly provided by the Plan, no adjustment shall be made for dividends or other rights for which the record date is prior to the issuance of Purchased Option Shares and the delivery of any certificate or certificates for such shares or completion of such other required issuance, transfer and depository procedures.

  • Settlement Shares With respect to any Settlement Date, a number of Shares, not to exceed the Base Amount, designated as such by Party B in the related Settlement Notice or by Party A pursuant to “Termination Settlement” below; provided that on the Maturity Date the number of Settlement Shares shall be equal to the Base Amount on such date.
