Purchase Price Adjustment Payment Amount means, with respect to a particular Purchase Price Adjustment Event, a portion of the Purchase Price equal to the product of (i) a fraction, the numerator of which is equal to the number of full months remaining in the period measured from the Closing Date through the ten year anniversary thereof after such Purchase Price Adjustment Event, and the denominator of which is equal to 120 and (ii) the amount set forth on Exhibit E hereto opposite the name of the applicable Affiliate of Seller Parent.

  • Payment Amount has the meaning specified in Section 6.1.
