Notwithstanding anything to the contrary contained herein, any nominee for Company's Board of Directors designated by Purchaser shall be consented to, in advance, by Company's Board of Directors, which consent shall not be unreasonably withheld. Additionally, so long as Purchaser is entitled to a Board seat in accordance with the provisions described above, Purchaser designee shall be a member of Company's compensation and nominating committee, and the chairman of such committee shall be reasonably acceptable to such designee.
