For purposes of this definition of "Publicly Traded Stock", a class or series of common stock is "nationally traded" if it is (A) registered under Section 12 of the Exchange Act (or any successor provision of law), and (B) listed for trading on any national securities exchange registered under Section 7 of the Exchange Act (or any successor provision of law) or on the Nasdaq National Market (or any successor system).
