Publicly announce or “public announcement” means publication on the department’s internet web site, or other reasonable methods to provide public notice.
Publicly announce as used herein, shall mean posting the position within the depart- ment where the vacancy exists as well as at City Hall. Public announcement may also include advertising in local and/or out of area newspapers, notification to other com- munity agencies, colleges, or universities, or other means deemed appropriate by the appointing authority.
Publicly announce means filing a candidate committee with the city clerk, or announcing an intention to seek public office through a speech, statement, or other public communication.

  • Announcement Date means the date of first public announcement of the proposed Business Combination.

Consequences of Merger Events: Merger Event:

  • Public Disclosure means disclosure in a press release reported by the Dow Jones News Service, Associated Press or comparable national news service or in a document publicly filed by the corporation with the Securities and Exchange Commission pursuant to Section 13, 14 or 15(d) of the Exchange Act.

  • NYFRB Rate means the rate for a federal funds transaction quoted at 11:00 a.m. on such day received to the Administrative Agent from a Federal funds broker of recognized standing selected by it; provided, further, that if any of the aforesaid rates shall be less than zero, such rate shall be deemed to be zero for purposes of this Agreement.

  • ECB Recommended Rate Index Cessation Event means the occurrence of one or more of the following events:

  • Exempted Fundamental Change means any Fundamental Change with respect to which, in accordance with Section 4.02(I), the Company does not offer to repurchase any Notes.

  • ECB Recommended Rate Index Cessation Effective Date means, in respect of an ECB Recommended Rate Index Cessation Event, the first date on which the ECB Recommended Rate is no longer provided, as determined by the Issuer and notified by the Issuer to the Calculation Agent;

  • Publication Date means an Ordinary Publication Date or an Extraordinary Publication Date, as the case may be.

  • Form 8-K As defined in the Pooling and Servicing Agreement.

  • Fundamental Change Company Notice shall have the meaning specified in Section 15.02(c).

  • Change of Control Date means the date on which a Change of Control occurs.

  • Takeover Proposal means any offer or proposal for, or any indication of interest in, a merger or other business combination involving Target or the acquisition of any significant equity interest in, or a significant portion of the assets of, Target, other than the transactions contemplated by this Agreement.

  • Publication NPC-233 means the Ministry Publication NPC-233, "Information to be Submitted for Approval of Stationary Sources of Sound", October, 1995 as amended.

  • Merger Event shall have the meaning specified in Section 14.07(a).

  • DC Credit Event Announcement means, with respect to the Reference Entity, a public announcement by the DC Secretary that the relevant Credit Derivatives Determinations Committee has Resolved that an event that constitutes a Credit Event has occurred on or after the Credit Event Backstop Date and on or prior to the Extension Date, provided that if the Credit Event occurred after the Scheduled Maturity Date, the DC Credit Event Announcement must relate to the relevant Potential Failure to Pay, in the case of a Grace Period Extension Date, or the relevant Potential Repudiation/Moratorium, in the case of a Repudiation/Moratorium Evaluation Date.

  • Multi-Exchange Index , if applicable, means each Reference Item specified under the heading "Underlying" in the Product Terms to be a Multi-Exchange Index.
