Public Material definition

Public Material means the Website Material freely accessible by the general public;
Public Material means any materials, including but not limited to software, (i) ownership of the intellectual property rights in and to which are in the public domain, (ii) although privately owned, usage rights in and to which have been dedicated to public use such as open source Software and publicly-available databases, or (iii) government-owned Software (e.g., GOTS) as defined by Law or Regulation.

  • Without limitation, the failure to obtain the consent of EDC would constitute a Public Material Adverse Change.

  • All Approvals to be obtained by Public shall have been obtained or made except for those Approvals that, if not obtained, would not constitute a Public Material Adverse Change.

  • Infrastructure shall comply with the escrow provisions below for all Public Material and Proprietary Vendor Material (including subcontractor-owned materials and other Third Party Material incorporated in SI for Compute Infrastructure’s Proprietary Material), except to the extent SI for Compute Infrastructure demonstrates to the satisfaction of MITS that compliance is not permitted by the nature of SI for Compute Infrastructure’s limited rights in such material.

  • Except as set forth on the Schedule to this Certificate, the representations and warranties made in the Agreement by Superholdings, Public and Merger Sub were true and correct in all respects at the Closing Date, except as affected by the transactions contemplated by the Agreement or except as did not have a Public Material Adverse Change at the Closing and will not have a Public Material Adverse Change after the Closing.

  • Except as set forth on the Schedule to this Certificate, each of Superholdings, Public and Merger Sub, in all respects, have performed each agreement, and have complied with each covenant to be performed or complied with by it on or prior to the Closing Date under the Agreement or any Related Agreement, except as has had a Public Material Adverse Change at the Closing and will not have a Public Material Adverse Change after the Closing.

  • You are authorised to download any number of copies of the Public Material for your own personal, private, non-commercial use and may make such copies available to third parties provided that (i) you acknowledge the source (ii) you do not remove or amend any trademark, copyright or other ownership notice and (iii) each recipient agrees to these terms and conditions.

Related to Public Material

  • Organic Materials means any combination of Food Waste and Green Waste. Organic Materials

  • Genetic material means any material of plant, animal, microbial or other origin containing functional units of heredity.
