Public Debt Offering definition

Public Debt Offering means the public offering and sale of one or more series of senior notes of the Borrower, pursuant to the Borrower’s existing shelf registration statement on Form S-3 (SEC Registration No. 333-135244), through a syndicate of underwriters for whom G▇▇▇▇▇▇, S▇▇▇▇ & Co., Deutsche Bank Securities Inc and M▇▇▇▇▇▇ Lynch, Pierce, F▇▇▇▇▇ & S▇▇▇▇ Incorporated shall act as Joint Book-Running Managers, which notes shall be in an aggregate principal amount of not less than $1,500,000,000 and as to which the due and punctual payment of principal, interest and premium (if any) shall be unconditionally guaranteed, on a senior unsecured basis, by the Guarantor.
Public Debt Offering means any public offering pursuant to a registration with the Securities and Exchange Commission or any offering pursuant to Rule 144A promulgated under the Securities Act of 1933 for the sale of debt instruments (whether senior or subordinated, secured or unsecured, convertible or not) of the Borrower or any of its Subsidiaries entered into by the Borrower or any of its Subsidiaries for the purposes of raising cash, or any other similar transaction which the Borrower and the Administrative Agent shall deem to be a "Public Debt Offering."
Public Debt Offering means issuance of additional Indebtedness of the Borrower in a debt capital markets transaction.

Examples of Public Debt Offering in a sentence

  • The Borrower shall provide the Administrative Agent prompt written notice of any proposed Public Debt Offering and shall provide evidence of compliance herewith reasonably satisfactory to the Administrative Agent on or prior to the closing date of any such Public Debt Offering.

  • Nothing in this paragraph shall affect any obligations between affiliates of the Lenders and the Obligors that may arise in connection with the Public Debt Offering or any other matter, the terms of which obligations, if any, shall be solely as set forth in a separate agreement.
