Prudent Operating Practices definition

Prudent Operating Practices means, at a particular time, those practices, methods, equipment, and acts then engaged in or approved by a significant portion of the electric utility industry and commonly used in utility engineering and operations to operate and maintain equipment equivalent to the Facility Equipment consistent with good business practices, economy, reliability, safety, and expedition, having due regard for current editions of the National Electric Code and other applicable electrical safety and maintenance codes and standards, manufacturer's warranties and recommendations, and all Legal Requirements governing the Facility.
Prudent Operating Practices means the practices, methods, standards and procedures that are consistent with Law and are generally accepted, engaged in and followed during the relevant time period by reasonably skilled, competent, experienced, and prudent owners and operators of generating and transmission facilities in the United States similar to the Transferred Assets and which, in the exercise of reasonable judgment in light of the facts known or that reasonably should have been known at the time a decision is made, would reasonably be expected to accomplish the desired result in a manner consistent with applicable Laws, codes and standards, equipment manufacturer’s recommendations, insurance requirements, manuals, environmental protection, good business practices, reliability, safety and expedition and taking into consideration the requirements of all applicable Licenses, Contracts and, from and after the Effective Date, this Agreement.
Prudent Operating Practices means the practices, methods and standards of professional care, skill and diligence generally recognized by a significant portion of the electric generation industry for operating facilities of similar size, type, and design, that, in the exercise of reasonable judgment, in light of the facts known at the time, would have been expected to accomplish results consistent with Applicable Law, reliability, safety, environmental protection, and standards of economy and expedition.

Prudent Operating Practices means the practices, methods and acts commonly used by experienced and prudent operators in the heating and cooling industry, including that portion of the industry providing thermal energy services to convention centers, casinos, malls and similar institutions, that at a particular time, in the exercise of reasonable judgment in light of the facts known and/or that reasonably should have been known at the time a decision was made, would have been expected to accomplish the desired result in a manner consistent with law and/or Governmental Authorizations, reliability, safety, environmental protection, economy and expedition, including without limitation, those practices, methods and acts which are required by manufacturers of machinery and equipment constituting as applicable, the Central Plant, the Other Facilities, or, if applicable, Buyer's Equipment.

Prudent Operating Practices is not intended to be limited to the optimum practice, method or act to the exclusion of all others, but rather to refer to a range of acceptable practices, methods and acts.
