Proration Payment Amount definition

Proration Payment Amount means an amount equal to: (i) the sum of (x) Prepaid Rent, Prepaid Expenses and XXX Advances and (y) 98.5% of Accounts Receivable that are not more than sixty (60) days past due, minus (ii) the aggregate amount of cash revenues received by Seller prior to the Closing Date and attributable to services to be provided to subscribers or other obligations to be performed by Purchaser following the Closing Date (other than prepaid launch fees), minus (iii) the aggregate amount of Customer Deposits, accounts payable and accrued expenses attributable to benefits received with respect to the Business in the period prior to the Closing Date and, in each case, which are included in Assumed Liabilities, which amounts shall be calculated in accordance with generally accepted accounting principles.
Proration Payment Amount means an amount equal to: (i) the sum of Prepaid Rent, Prepaid Expenses and ROE Advances, minus (ii) the aggregate amount of cash revenues xxxeived by Seller prior to the Closing Date and attributable to services to be provided to subscribers or other obligations to be performed by Purchaser following the Closing Date, minus (iii) the aggregate amount of accounts payable and accrued expenses attributable to benefits received in the period prior to the Closing Date, which amounts shall be calculated in accordance with generally accepted accounting principles, minus (iv) one-half the aggregate amount of deposits for equipment located on the premises of subscribers to the Business minus (v) the product of (x) 80.355% and (y) those liabilities of Home Link (other than liabilities relating to deposits for equipment located on the premises of subscribers to the Business) that would be required to be reflected in a balance sheet (or the notes thereto) prepared in accordance with generally accepted accounting principles and which are not or will not be otherwise satisfied at or prior to the Closing pursuant to Section 5.20 hereof.
Proration Payment Amount means an amount equal to: the sum of (x) Prepaid Rent and Prepaid Expenses and (y) Current Accounts Receivable minus the sum of (a) the aggregate amount of deferred cash revenues received by the Business prior to the Closing Date and attributable to services to be provided to subscribers or other obligations to be performed by Purchaser following the Closing Date (including payments for cable television commercials), (b) Customer Deposits, and (c) accounts payable and accrued expenses attributable to goods and services received in the period prior to the Closing Date and, in each case, which are included in Assumed Liabilities, which amounts shall be calculated in accordance with GAAP consistently applied. The Proration Payment Amount shall be calculated in accordance with Section 2.3(b)(iii)(E) of the Seller Disclosure Schedule.

  • Cash Contribution Amount means the aggregate amount of cash contributions made to the capital of the Issuer or any Guarantor described in the definition of “Contribution Indebtedness.”
