Proposed Employee means the employee of the Assured as stated in the Application.

  • There are no audits, inquiries or proceedings pending or, to the knowledge of the Target, threatened, by any Governmental Body in respect of any Employee Plans or Proposed Employee Plans.

  • Effective as of the Closing Date, the Seller shall permit each Proposed Employee who timely accepts an offer of employment extended to such individual by Purchaser or a Purchaser Affiliate in connection with the Transactions (each a “Hired Employee”) to: (a) elect a distribution of his or her account balance in the Seller 401(k) Plan, pursuant to the provisions thereof; or (b) elect to retain his/her account balance in the Seller 401(k) Plan.
