Proper Nomination definition

Proper Nomination has the meaning set out in Article 6.6.1.
Proper Nomination means a nomination which has been made in accordance with the requirements of Articles 6.5.3, 6.5.4, 6.5.5 or 6.5.7 and Articles 6.6.2 and 6.6.3. “Properly Nominated” means in relation to a quantity of Gas in respect of any Day, the Proper Nomination.
Proper Nomination means a Nomination or Renomination, which is in accordance with TTF Customer’s Nomination Request and rights under the General Terms and Conditions Flexibility Services TTF and one or more Flexibility Services Contracts TTF and is made in the manner and within the time limits as set out in the Operating Manual TTF.

Examples of Proper Nomination in a sentence

  • Such allocated amount of Natural Gas delivered shall be deemed to be the Proper Nomination and the rights and obligations of INGL and of the Shipper shall be determined accordingly.

  • If no alternative nomination is agreed by 20:00 hours, then the Proper Nomination for the next Day shall unless otherwise agreed by the Parties in writing, be the last available Proper Nomination for the Day preceding the next Day.

  • The management level of reservoir is directly related to the normal design efficiency and people’s life and property’s safety.

  • If the Shipper's Nomination is a Proper Nomination according to the terms of Section 12.2 above, INGL shall confirm the Shipper's Proper Nomination for the next Day by 18:00 hours on the Day preceding the next Day to which such Proper Nomination applies.

  • To the extent that the Shortfall Gas for a day does not, absent the application of this Article8.3(a), exceed five percent (5%) of the Proper Nomination minus any amount not made available due to the events listed in Article 8.2(a)(ii) for that day, that Gas shall not be classified as Shortfall Gas and the Seller shall be deemed to have met its obligation to make Gas available for delivery on that day and the Shortfall Gas quantity shall be deemed to equal zero (0).

  • Provided however that, subject to the 15% limitation of Shifted Gas Nominations under Section 12.5.1, the overrun for a Designated Redelivery Point under this sub-paragraph (ii) shall be zero unless the quantity of Natural Gas taken by the Shipper at a Designated Redelivery Point: (a) exceeds the Proper Nomination for that Designated Redelivery Point for any hour by more than 5%, and (b) exceeds the Redelivery Capacity for that Designated Redelivery Point.

  • Any request by the Shipper pursuant to Section 12.7.1 above shall only become binding on INGL if such request is accepted by INGL pursuant to this Section 12.7.3, in which case it will be deemed a Proper Nomination.

  • To facilitate such Seamless Service, Shipper may, subject to the interstate pipeline company's approval, assign the obligations set forth in Section 8.1 ("Proper Nomination") above to the applicable interstate pipeline company.

  • Article 8.1, Proper Nomination, shall be deleted in its original form and replaced by the following: 8.1 Proper Nomination.

  • Proper Nomination has defined time periods, and must be such that it does not exceed the maximum contract parameters (i.e. injection, withdrawal, space etc).

  • Relevant Nominating Body means, in respect of a benchmark or screen rate (as applicable):

  • Nomination means a request by a Shipper to Carrier to transport a stated quantity of Crude Petroleum on the Pipeline for the account of such Shipper in any month.

  • Nominations means the process by which the customer or the customer's agent notifies the Company of expected transportation quantities.

  • Investor Nominee has the meaning set forth in Section 2.01(a).

  • Over-Riding Nomination Criteria means the criteria set out in clause 4.2.

  • Nominated Athlete means an Athlete who has been nominated to the NZOC by Swimming New Zealand.

  • New Directors means any director whose election by the Board or whose nomination for election by the Company's stockholders was approved by a vote of at least two-thirds of the directors then still in office who were Present Directors or New Directors.

  • shadow director means, in relation to a company, any person in accordance with whose directions or instructions the directors of the company are accustomed to act, but the person is not deemed to be a shadow director by reason only that the directors act on advice given by him in a professional capacity; and

However, “New Director” shall not include a director whose initial assumption of office is in connection with an actual or threatened election contest, including but not limited to a consent solicitation relating to the election of directors of the Company.

  • Incumbent Director means a director who either (i) is a member of the Board as of the Effective Date or (ii) is elected, or nominated for election, to the Board with the affirmative votes of at least a majority of the Incumbent Directors at the time of such election or nomination (but excluding a director who was elected or nominated in connection with an actual or threatened proxy contest relating to the election of directors of the Company).

  • Incumbent Directors means directors who either (A) are directors of the Company as of the date hereof, or (B) are elected, or nominated for election, to the Board with the affirmative votes of at least a majority of the Incumbent Directors at the time of such election or nomination (but shall not include an individual whose election or nomination is in connection with an actual or threatened proxy contest relating to the election of directors to the Company); or

  • Nomination Criteria means the criteria made up of the Over-Riding Nomination Criteria andthe Specific Nomination Factors, and is also referred to as “this Criteria”.

  • Parent Directors means the Directors elected or appointed pursuant to Articles 53 – 56 inclusive;

  • Nominating Committee means the nominating committee of the board of directors of the Company established pursuant to the Articles, or any successor committee.

  • Governance Committee means the Governance Committee of the Board.

  • Nomination Committee means the nomination committee of the Board established in accordance with Article 114;

  • Nominated Company means a company selected by the Lenders’ Representative and proposed to the Authority for substituting the Concessionaire in accordance with the provisions of the Substitution Agreement;

  • Procurement Director or “System SCM Director” shall mean the System Director of Supply Chain Management who serves as chief procurement officer for the CCH.

  • Continuing Directors means, as of any date of determination, any member of the Board of Directors of the Company who (1) was a member of such Board of Directors on the date of the issuance of the Securities; or (2) was nominated for election or elected to such Board of Directors with the approval of a majority of the Continuing Directors who were members of such Board of Directors at the time of such nomination or election (either by a specific vote or by approval of the Company’s proxy statement in which such member was named as a nominee for election as a director).

  • Nominating and Corporate Governance Committee means the nominating and corporate governance committee of the board of directors of the Company established pursuant to the Articles, or any successor committee.

  • Investor Designee shall have the meaning set forth in Section 5(a).

  • Independent Directors means the members of the Board of Directors who are not officers or employees of the Manager.

  • Specific Nomination Factors means the nomination factors set out in clause 4.3.

  • Series B Director means any director of the Company that the holders of record of the Series B Preferred Stock are entitled to elect pursuant to the Company’s Certificate of Incorporation.

  • Nominated Recipient means a person appointed by You to receive particular FIT Payments and recorded as such on the Central FiT Register;

  • Preferred Directors means, collectively, the Series A Directors and the Series B Director.
