Notwithstanding anything to the contrary herein, Affiliate will determine, in each instance, appropriate in-theatre Promotional Assets for each Program based upon, among other things, any potential conflict (as determined by Affiliate, in its reasonable discretion) between any such proposed Promotional Assets and any contractual agreement(s) that Affiliate may have with a third party or parties.
MMT hereby grants, and shall cause its Affiliates to grant, to SIGA a non-exclusive, worldwide, royalty-free license, with the right to grant sublicenses (through multiple tiers), to use the Promotional Assets in connection with Promotion and/or other exploitation of the Product during the Term.
These Promotional Assets shall be provided in a digital format (as provided by NCM for download via NCM’s ftp website) and may include some or all of the following: pre-movie advertising spots, special Program flyers (if available on a per-program-basis), website promotional materials, and the like except in the case of printed Program posters, theatre lobby poster cases, box office clings or door clings, and the like as are customarily available in Affiliate’s theatres.
If any creative materials, duplicating film or other "master" duplicating materials constituting Promotional Assets contain Seller Marks, Seller will so advise Buyer and will make printed copies of the materials concerned available for Buyer's review.
