WEPCo shall, and shall procure that each WEPCo Party and Project Service Provider shall, retain all documents referred to in Clause 36.1 (and any other records WEPCo or such WEPCo Party or Project Service Provider, as the case may be, is required to keep under any Project Agreement or Supply Chain Agreement) for a period of not less than six (6) years from that document's creation or coming into that party's possession, whichever is the later.
Notwithstanding any other provisions of this Agreement, no Party shall be entitled to recover or make a claim under this Agreement in respect of any loss or damage that it has incurred to the extent that such Party or, in the case of WEPCo, a Project Service Provider, has previously recovered in respect of such loss pursuant to this Agreement or otherwise.
If the SPB does not approve the proposed action, WEPCo must use all reasonable endeavours to procure that its Subsidiary and/or the relevant Project Service Provider shall not proceed with that proposed action.
If Customer has made the payment but Service Provider is not able to accept new Customer or Project, Service Provider shall refund the full paid amount of the initial payment.

It shall be a principle of the Market Testing Proposal that, unless otherwise agreed by the parties (such agreement not to be unreasonably withheld or delayed), the allocation of risk to the Preferred Tenderer, if appointed to act as a Project Service Provider, shall be substantially in accordance with the terms of the relevant Template Project Agreement.
For each Project, Service Provider shall bind each and every consultant retained by Service Provider for completion of the Project (each, a “Consultant”) to the terms of the Project Agreement (which shall incorporate the terms, conditions and provisions of this Agreement), and shall ensure that all persons rendering Services under the Project Agreement are properly licensed and/or registered as required to provide such Services under Applicable Law (as defined in Section 3.1).

Where the New Project receives Stage 2 Approval, hubco shall procure that all the Preferred Tenderers (as agreed or determined in accordance with paragraph 5.2.4 above) are appointed by the Project Service Provider, Contractor (or its subcontractor) or appropriate Service Provider (or their subcontractor) to provide the relevant Market Tested Element or group of Market Tested Elements or individual parts of any Market Tested Element (as the case may be) on the basis set out in their Compliant Tender.
Unless specifically agreed otherwise as part of an applicable SOW, with respect to each Project, Service Provider shall deliver Company with a monthly status report, covering the status of the Services and Deliverables performed and/or produced by Service Provider during the previous period.
