At such time as the Refined Product Pipeline or Refined Product Terminal is returned to use, then the discount rate shall no longer apply.
In furtherance of the foregoing rights of ALON, in the event that HEP proposes to enter into any pipelines and terminals agreement or similar agreement with any third party with respect to any Refined Product Pipeline or Refined Product Terminal after termination without renewal of this Agreement, HEP shall give ALON 45 days prior written notice of such proposed agreement, which notice shall include the fee schedules, tariffs, throughput volumes, duration and any other terms proposed in such agreement.
Notwithstanding that the Minimum Revenue Commitment will be determined on a Contract Year basis, the applicable fees, tariff rates and other charges provided for in this Agreement will become effective as of the date of this Agreement, or in the case of the Refined Product Pipeline tariff rates, as soon thereafter as those rates become effective.
The Partnership Group will use commercially reasonable efforts to obtain the necessary regulatory approvals for the Refined Product Pipeline tariff rates set forth in Exhibit F and Exhibit G to become effective on the date of this Agreement or as soon as possible thereafter.
HEP agrees that, without ALON’s prior written consent, neither HEP nor any of its Affiliates shall be a shipper of any Refined Products or Other Products in any Refined Product Pipeline, and HEP further agrees that, subject to Common Carrier Requirements, only ALON and such shippers as ALON shall designate shall be permitted to ship Refined Products on the Refined Product Pipelines.
In any such instance, volumes transported or terminalled for Sunoco R&M and its Controlled Affiliates by or for the account of other owners of the pipeline or terminal shall not be considered as volumes transported in a Crude Oil Pipeline or a Refined Product Pipeline or terminalled through a Refined Product Terminal, as applicable, for purposes of determining whether Sunoco R&M's obligations have been met under this Agreement.
At the request of HFRM, and subject in each case to any applicable common carrier proration duties, HEP Operating agrees to use commercially reasonable efforts to transport by pipeline for HFRM each month during the Term (i) up to 49,500 bpd of gasoline and 26,500 bpd of diesel fuel on the South System and (ii) up to 40,000 bpd of Refined Products from Artesia to ▇▇▇▇▇▇▇▇ or Artesia to Bloomfield on HEP Operating’s Artesia to ▇▇▇▇▇▇▇▇ and Artesia to Bloomfield Refined Product Pipeline.
HEP will (i) deliver to ALON the identical Refined Products that are stored in any segregated Refined Product Terminals, and (ii) comply with the rules and regulations of the tariffs attached hereto as Exhibits D, E, or G with respect to delivery of any Refined Product tendered by ALON into a Refined Product Pipeline.
There shall be no fractionation fee paid to Seller for Specification Products designated by Buyer to be re-injected into a Raw Product Pipeline at the tailgate of the Chico Plant.
Without Holly's prior written consent, which shall not be unreasonably withheld, the Partnership Group will not reverse the direction of any Refined Product Pipeline or connect any other pipeline to the Refined Product Pipelines or Refined Product Terminals.
