Private Equity Firm definition

Private Equity Firm has the meaning given the term ‘‘private equity fund’’ in section 13(h)(2) of the Bank Holding Company Act of 1956 (12 U.S.C. 1851(h)(2)). The private equity firm must have a place of business located in the United States and be created or organized in the United States, or under the law of the United States or of any State.
Private Equity Firm means a partnership or entity that manages one or more Private Equity Funds and is: (i) named in ITEM 1 of the Declarations; or (ii) named as such by endorsement to this Liability Policy.
Private Equity Firm means any Person who would hold at least ten percent (10%) of the Common Stock of the Company as a result of such investment, would serve or has a representative who would serve on the Company’s board of directors as a result of such investment, does not purchase any freely tradeable securities of the Company or securities convertible into freely tradeable securities of the Company, and is not actively trading any security that has been registered with the SEC or the issuer which is subject to the reporting requirements under the 1934 Act.
