Priority Action definition

Priority Action means an action of the Executive Board that affects critical interests, assets or reputation of the University and, consequently, in order to be effective, requires written ratification by the University President. Only the Executive Board, however, can cause a Priority Action or any other action of the Executive Board to be taken, as that is the purview of the Executive Board and requires a vote of a sufficient number of its members. 10. “Unacceptable performance” means a persistent failure to fulfill duties of the position to high standards and in a manner that serves the best interests of the Foundation and the University, as determined by the University President after consulting with the Executive Board or its authorized designee acting as a senior executive of the Foundation. .
