Prior Purchasers definition

Prior Purchasers means the September Purchasers, the June Purchaser, the July Purchaser and the August Purchasers. “Pro Rata Portion” shall have the meaning ascribed to such term in Section 4.12(e).

• Each of such Founders and Prior Purchasers acknowledge and agree that the execution and delivery by the Company of this Agreement, the Purchase Agreement and the additional Financing Agreements and the performance by the Company of its obligations thereunder do not constitute a default under the provisions of the Former Investors’ Rights Agreement.
