Principal Shares definition

Principal Shares is defined in Section 7.1.

Principal Shares means the 4,550,000 presently issued restricted shares in the common stock of the Company held by the Principal Shareholder to be transferred to Nano and its nominees as described in paragraph 2.5.

Principal Shares means the 39,000,000 presently issued restricted common shares of the Purchaser held by the Principal Shareholder to be transferred to the Vendor as described in paragraph 2.4.

• As the Shareholders will have invested in the LGFA on the basis of this limited dividend, the Board considers that at establishment the commercial value of LGFA is equal to the face value of the Shareholders’ paid up Principal Shares - $25 million.

• In the absence of any subsequent share transfers to the observed share transfers on 30 November 2012, the Board considers the current commercial value of LGFA is at least equal to the face value of the Shareholders’ paid up Principal Shares of $25 million.

• In the absence of any subsequent share transfers to the observed share transfers on 30 November 2012, the Board considers the current commercial value of LGFA is at least equal to the face value of the Shareholders’ paid up Principal Shares - $25 million.

More Definitions of Principal Shares

Principal Shares means the number of fully paid and non-assessable shares ---------------- of Common Stock obtained by dividing the amount of Principal on the Notes due on the Maturity Date by the Conversion Price.

Principal Shares has the meaning attributed thereto in Section 2.1;

Principal Shares has the meaning given to it in the Debenture Certificate.

Principal Shares means (i) all of the shares of Common Stock owned or held by the Principals prior to the consummation of the Company’s initial public offering or (ii) all of the warrants purchased privately by the Principals simultaneously with the consummation of the Company’s initial public offering (and underlying shares of Common Stock) and owned or held by the Principals upon consummation of the Company’s initial public offering.
