Principal Shares definition

Principal Shares is defined in Section 7.1.
Principal Shares means the 4,550,000 presently issued restricted shares in the common stock of the Company held by the Principal Shareholder to be transferred to Nano and its nominees as described in paragraph 2.5.
Principal Shares means the 39,000,000 presently issued restricted common shares of the Purchaser held by the Principal Shareholder to be transferred to the Vendor as described in paragraph 2.4.

Principal Shares means (i) all of the shares of Common Stock owned or held by the Principals prior to the consummation of the Company’s initial public offering or (ii) all of the warrants purchased privately by the Principals simultaneously with the consummation of the Company’s initial public offering (and underlying shares of Common Stock) and owned or held by the Principals upon consummation of the Company’s initial public offering.
