Pricing Category definition
Pricing Category has the meaning assigned to such term in Annex I.
Pricing Category means, for any day, the Pricing Category (I, II, or III) indicated on the table below that corresponds to the Borrower’s Pricing Rating on such day:
Pricing Category means any of the pricing categories described in clauses (ii)(w) through (ii)(z) of the definition of “Applicable Margin” or clauses (i) through (iv) of Section 2.07(a), in each case based on the Borrower’s ratio of Consolidated Funded Debt to Consolidated Total Tangible Capital. For all purposes of this Agreement, a “higher” Pricing Category shall mean a Pricing Category indicating a higher Applicable Margin or Facility Fee.
Examples of Pricing Category in a sentence
If a rating has been issued by only one of S&P or ▇▇▇▇▇'▇, that rating shall determine the Pricing Category.
If the Required Lenders and the Borrower cannot agree on a substitute rating agency within forty-five (45) days of such discontinuance, the Applicable Margin to be used for the calculation of interest on Advances hereunder shall be Pricing Category 4 (as defined in EXHIBIT A).
