Priceline shall give Worldspan the opportunity to develop new technological capabilities in order to serve the Affiliates’ international needs.
The Parties acknowledge that the foregoing provision has been negotiated at arms length between Worldspan and Priceline and represents a reasonable compromise in the event of Priceline’s failure to complete the specified obligation.
