Premises C Term definition

Premises C Term shall commence on the date ("Premises C Commencement Date") which is 75 days after the day Landlord delivers possession of Premises C to Tenant (75 days after the day Landlord delivers possession of Premises C to Tenant is currently estimated to be October 15, 1999, the "Premises C Target Commencement Date"). Unless terminated early in accordance with this Lease, the Premises A Term, the Premises B Term and the Premises C Term shall end on February 28, 2002 (the "Termination Date"). Promptly after the determination of the Premises C Commencement Date, Landlord and Tenant shall enter into a commencement letter agreement in the form attached as EXHIBIT C. Landlord and Tenant acknowledge that the schedule of Base Rent described in Section I.D. above is based on the assumption that the Lease Term with respect to Premises A, Premises B and Premises C will commence on the Premises A Commencement Date, the Premises B Commencement Date, and the Premises C Target Commencement Date, respectively. If the Lease Term with respect to Premises A and Premises B does not commence on the Premises A Commencement Date and the Premises B Commencement Date, respectively, the beginning and ending dates set forth in the above schedule with respect to the payment of any installment(s) of Base Rent shall be appropriately adjusted on a per diem basis and set forth in the Commencement Letter to be prepared by Landlord. If the Lease Term with respect to Premises C does not commence on the Premises C Target Commencement Date, the beginning date set forth in the above schedule with respect to the payment of any installment(s) of Base Rent for Premises C shall be appropriately adjusted on a per diem basis and set forth in the Commencement Letter to be prepared by Landlord, but the Termination Date of the Lease shall not be adjusted. Notwithstanding the foregoing, if the Premises A Commencement Date and the Premises B Commencement Date do not occur by August 1, 1999 (the "Outside Completion Date"), Tenant, as its sole remedy, may terminate this Lease by giving Landlord written notice of termination on or before the date which is 5 Business Days after the Outside Completion Date. In such event, this Lease shall be deemed null and void and of no further force and effect and Landlord shall promptly refund any Prepaid Rental and Security Deposit previously advanced by Tenant under this Lease and, so long as Tenant has not previously defaulted under any of its obligations under the Work Letter...
Premises C Term shall commence on June 19, 2000 ("Premises C Commencement Date") and end on the Termination Date. The Premises A Commencement Date, the Premises B Commencement Date and the Premises C Commencement Date are individually referred to herein as a "Commencement Date". Unless terminated early in accordance with this Lease, the Premises A Term, the Premises B Term and the Premises C Term shall end on June 30, 2008 (the "Termination Date"). However, if Landlord is required to Substantially Complete (defined in Section III.A) any Landlord Work (defined in Section I.O.) in Premises A, Premises B or Premises C prior to the Premises A Commencement Date, Premises B Commencement Date or Premises C Commencement Date, as the case may be, under the terms of a Work Letter (defined in Section I.O): (1) the dates set forth above as the Premises A Commencement Date, Premises B Commencement Date and Premises C Commencement Date, as the case may be, shall instead be defined as the "Target Premises A Commencement Date", "Target Premises B Commencement Date" and "Target Premises C Commencement Date", respectively, by which date Landlord will use reasonable efforts to Substantially Complete the applicable Landlord Work; and (2) the actual Premises A Commencement Date, Premises B Commencement Date and Premises C Commencement Date, as the case may be, shall be the date on which the Landlord Work is Substantially Complete in Premises A, Premises B and Premises C, respectively, as determined by Section III.A. In such circumstances, the Termination Date will instead be 96 months after the last to occur of the Premises A Commencement Date, Premises B Commencement Date and Premises C Commencement Date. Landlord's failure to Substantially Complete the Landlord Work by the applicable Target Commencement Date shall not be a default by Landlord or otherwise render Landlord liable for damages. Promptly after the determination of the last to occur of the Premises A Commencement Date, Premises B Commencement Date and Premises C Commencement Date, Landlord and Tenant shall enter into a commencement letter agreement in the form attached as Exhibit C.

Related to Premises C Term

Expansion Space means the entire second floor of that certain building in the Project located at 450 East Jamie Court, South San Francisco, California, which is not occupied by a tenant or which is occupied by a then existing tenant whose lease is expiring within 6 months or less and such tenant does not wish to renew (whether or not such tenant has a right to renew) its occupancy of such space. Tenant shall be entitled to exercise its right under this Section 39(a) only with respect to the entire Expansion Space described in such Pending Deal Notice. Within 10 days after Tenant’s receipt of the Pending Deal Notice, Tenant shall deliver to Landlord written notice (the “Acceptance Notice”) if Tenant elects to lease the Expansion Space. Tenant’s right to receive the Pending Deal Notice and election to lease or not lease the Expansion Space pursuant to this Section 39(a) is hereinafter referred to as the “Right of Second Refusal.” If Tenant elects to lease the space described in the Pending Deal Notice by delivering the Acceptance Notice within the required 10 day period, Tenant shall be deemed to agree to lease the Expansion Space on the same general terms and conditions as this Lease except that the terms of this Lease shall be modified to reflect the terms of the Pending Deal Notice for the rental of the Expansion Space; provided, that if the term of the Lease with respect to the Expansion Space would expire after the Base Term of the Lease with respect to the original Premises, the Base Term of the Lease with respect to the original Premises shall be extended so as to be co-terminous with the term of the Lease with respect to the Expansion Space. Notwithstanding anything to the contrary contained herein, in no event shall the TI Allowance or Landlord’s Work apply to the Expansion Space. If Tenant fails to deliver a Acceptance Notice to Landlord within the required 5 day period, Tenant shall be deemed to have waived its rights under this Section 39(a) to lease the Expansion Space identified in the Pending Deal Notice, and Landlord shall have the right to lease such Expansion Space to the party subject to the Pending Deal Notice (or an affiliate of such party) on substantially the terms and conditions contained in the Pending Deal Notice.
Lease Term means the term of this Lease which shall commence on the Commencement Date and continue for the period specified in Section J of the Summary.
floor space , in relation to any building, means the area of a floor which is covered by a slab, roof or projection; provided that—
Storage Space means a space where goods of non-hazardous nature are stored and includes cold storage and banking safe vaults.
Base Term A term (i) beginning, with respect to the Existing Premises, on the Commencement Date, and with respect the Expansion Premises, on the Expansion Premises Commencement Date, and (ii) ending, with respect to the entire Premises, on March 31, 2017.”
Extended Term shall have the meaning set forth in Section 2.
Extension Term means the time period defined in §2.C.
residential premises means a dwelling unit for residential use and occupancy and the structure of which it is a part, the facilities and appurtenances in it, and the grounds, areas, and facilities for the use of tenants generally or the use of which is promised the tenant. "Residential premises" includes a dwelling unit that is owned or operated by a college or university. "Residential premises" does not include any of the following:
commercial premises means any of the following:
On-premises sign means a sign advertising activities conducted or maintained on the property on which it is located. The boundary of the property shall be as determined by tax rolls, deed registrations, and apparent land use delineations. If a sign consists principally of brand name or trade name advertising and the product or service advertised is only incidental to the principal activity conducted or maintained on the property, or if the sign brings rental income to the property owner or sign owner, it shall be considered the business of outdoor advertising and not an on-premises sign. On-premises sign does not include a sign on a narrow strip of land contiguous to the advertised activity, or a sign on an easement on adjacent property, when the purpose is clearly to circumvent the intent of this act.
Work space means that portion of the court’s facilities dedicated to each court reporter, including but not limited to actual space in the courtroom and any designated office space.
Rentable Area of Premises on Page 1 of the Lease shall be deleted in their entirety and replaced with the following:
Open space means any land laid out as a public garden, or used for the purposes of public recreation, or land which is a disused burial ground;
Commencement Date means the date of this Agreement.
Rentable Area of the Premises The amount of square footage set forth in Section 1.01(10).
Subleased Premises means approximately -18;961 rentable square feet on the 141h floor of the Building, as more specifically depicted on Exhibit A attached hereto and made a part hereof. The Subleased Premises include all of the Leased Premises identified in the Prime Lease.
Common open space means an open space area within or related to a site designated as a development, and designed and intended for the use or enjoyment of residents and owners of the development. Common open space may contain such complementary structures and improvements as are necessary and appropriate for the use or enjoyment of residents and owners of the development.
Renewal Term shall have the meaning set forth in Section 9.1.
Parking Space means an area enclosed or unenclosed, covered or open, of sufficient size to park vehicles, together with a driveway connecting the parking space with a street or any public area and permitting ingress and egress of the vehicles;
Landlord’s Work means the work of constructing the Tenant Improvements.
Customer Premises Equipment or "CPE" means equipment employed on the premises of a Person other than a Carrier to originate, route or terminate Telecommunications (e.g., a telephone, PBX, modem pool, etc.).
Grave space means a space of ground in a cemetery that is used or intended to be used for an in-ground burial.
Off-premises sign means a sign relating, through its message and content, to an activity, use, product, or service which is not available on the premises on which the sign is erected.
Rentable Area of the Building The amount of square footage set forth in Section 1.01(11)
Net Rentable Area With respect to any Real Estate, the floor area of any buildings, structures or improvements available for leasing to tenants determined in accordance with the Rent Roll for such Real Estate, the manner of such determination to be reasonably consistent for all Real Estate of the same type unless otherwise approved by the Agent.
domestic premises means any premises used wholly or partly as a dwelling or intended for such use;
