Preliminary Interim Order definition

Preliminary Interim Order has the meaning set forth in the Term Sheet. (rr) “ Securities Laws ” means, collectively, Canadian Securities Laws and U.S. Securities Laws. (ss) “ SEDAR ” means the System for Electronic Document Analysis and Retrieval. ( tt) “ Shares ” means, collectively, the existing common and preferred shares of Just Energy. ( uu) “ Specified Tax Jurisdiction ” means Canada and each other jurisdiction in which the Company or, if applicable, its Affiliates are organized or otherwise considered to be a resident for tax purposes or from which the Company or, if applicable, its Affiliates, make a payment .   • Preliminary Approval Order means the order to be submitted to the Court in connection with the preliminary approval hearing on the Settlement, the proposed form of which is attached hereto as “Exhibit D”.

  • Interim Order means the interim order of the Court, as the same may be amended, in respect of the Arrangement;

  • Final Order means the final order of the Court in a form acceptable to the Company and the Purchaser, each acting reasonably, approving the Arrangement, as such order may be amended by the Court (with the consent of both the Company and the Purchaser, each acting reasonably) at any time prior to the Effective Date or, if appealed, then, unless such appeal is withdrawn or denied, as affirmed or as amended (provided that any such amendment is acceptable to both the Company and the Purchaser, each acting reasonably) on appeal.

  • Sale Order means an Order of the Bankruptcy Court approving this Agreement and the transactions contemplated hereby, which Order shall be in the form attached hereto as Exhibit A, with such changes as may be consented to by Buyer (which consent shall not be unreasonably withheld, conditioned or delayed) or as the Parties may mutually agree.

  • Approval Order means (i) an order in the form attached hereto as Exhibit 2; or (ii) in the event of a timely objection to the motion to approve the Agreement that if sustained would reduce the full Settlement Amount available to pay Asbestos-Released Claims, an order in such form agreed to in writing by the Parties, entered by the Bankruptcy Court that (a) approves this Agreement, (b) authorizes the Parties to undertake the settlement and the sale of the Subject Policies as set forth in this Agreement, and (c) provides for the Injunction.
